MINUTES
A meeting of the Andover Economic Development Authority was called to order by
President Mike Gamache at 6:30 pm, Tuesday, June 25, 2002 at Andover Fire Station #1,
13875 Crosstown Boulevard NW, Andover, Minnesota.

Approval of Minutes - June 12, 2002
Motion by Orttel, seconded by Jacobson to approve the minutes of June 12,2002 as
written. Motion carried unanimously.
Andover Station-Residential Development Presentation/Commercial Development
Presentation
The following developers presented their plans for the property previously being
considered by Hans Hagen Homes.
BOZ Construction - Mike Jechorek and Brad Dunham, Edina Realty explained that they
have purchased Hans Hagens' plans that previously had been presented to the EDA.
These include the grading plan, soils plan, utility plan and landscape plan. They would
be interested in building that same project.
Mr. Erar noted that the city has disclosed all of the history of the site to the developers
who are present.
Ryland Construction - Chris Enger explained that they are one of the 5 or 6 largest home
builders in the country, The townhome project they are proposing is similar to one
currently being built in Shakopee. The units have tuck-under garages in the rear, can be
built in 4, 5, 6, 7 or 8 unit buildings, with the end units being 24 feet wide and the center
units being 22 feet wide. The end units have 1900 square feet plus 400 square feet in the
lower level in addition to the garage. They are priced in the low $200,000's. They sell

usually to first-time home buyers, dual income families and active adults. He noted that
they have signed a letter of intent with United Properties.
JMS Homes - Jeff Schoenwetter noted that recently they have done projects in Mendota
Heights, St. Michael, Minnetonka and Edina. They do custom one-of-a-kind homes and
are the originators of the Health House Concept in association with the American Lung
Association, Their company's mission is driven by credibility and their responsibility is
to maximize and secure the best value. The base price of their proposed homes is
$230,000 to $240,000 with an association fee of $125 and $260 per month. The homes
range from 1550 square feet to 3600 square feet and options include porches and 3-car
garages. The density would be 6 to 7 homes per acre. They would all be in the Arts and
Crafts style.
Due to another commitment Ryan Companies presented their proposal for the WDE site.
Ryan Companies - Tom Palmquist stated that they would like to purchase 18.4 acres of
the WDE site for a commercial development with the possibility of purchasing an
additional 4.7 acres. The major tenant is a nationally known retailer and the first phase
would be 178,000 square feet of retail with 21,500 square feet in the second phase. He
explained that their approach to the market is to work with their customers to find out
where they want to buy and then Ryan goes out to find the property. They will build the
store and the customer will own it.
Mr, Erar stated that if this is the type of development the EDA wants, staff will negotiate
with Ryan Companies on a purchase agreement.
Schuett Real Estate Group - Tom Schuett stated that their approach is not the cookie
cutter type of project. They have developed projects in Brooklyn Park and Plymouth.
Their concept for Andover would be 72 townhomes in the $180,000 - $200,000 price
range. Pricing will vary depending upon customer chosen upgrades.
Mr. Erar explained that it is now up to United Properties to make a deal with one of the
four developers for the development that would best fit Andover.
Keith Ulstad, United Properties, stated that this is an opportunity for the city to decide
what they want the whole area to look like. He represented to the existing tenants that
there would be people living behind the grocery store. All four of the groups are
financially qualified to build and finish the project.
Councilmember Knight asked JMS the price range of their units. Mr, Schoenwetter
stated their concept can't be built below $225,000 and that would be slab on grade

without basements. Their market research indicates they could sell SA homes per month
in Andover. What they are proposing would be very successful in this community.
(Councilmember Trude left the meeting at 8:35 pm)
Council thanked the developers for their presentations and discussed the four proposals.
After considerable discussion, Council decided that BOZ would be the best developer.
They were the only developer who talked to Hans Hagen about the property.
Motion by Gamache, seconded by Orttel to authorize United Properties to meet with
BOZ Construction to recommend they stay with the Hans Hagen Development plan as
previously approved and direct Mr. Erar to meet with BOZ Construction.
Commercial Development/WDE Site
Mayor Gamache stated that he would like to see Ryan Companies come in but he wants
to see a real road going through the property. Mr, Erar noted that Ryan is the only
developer who has come forward expressing an interest in the property. If the EDA is
interested in working with Ryan, staff will have Ryan bring back concept drawings.
Motion by Orttel, seconded by Jacobson to authorize the EDA to pursue negotiations
with Ryan Companies and obtain a letter of intent.
Discussion: Mr. Neumeister felt that we need to stay firm on the design standards for this
property. Councilmember Orttel suggested we request Ryan Companies to provide a
sketch on what they would do with the rest of the property.
Motion carried unanimously.
Requestfor Public Use of EDA Property
Staff explained that the Anoka Rotary Club has requested they be allowed to sell raffle
tickets on EDA property behind 151 Regions Bank during the Fun Fest.
Motion by Knight, seconded by Orttel to allow the request of the Anoka Rotary Club for
June 28th and 29th at a cost of $1.00 per day, Motion carried unanimously.
Debris Removal South ofWDE Site
Motion by Jacobson, seconded by Orttel to authorize removal of the debris ata cost not
to exceed $7,400.00. Motion carried unanimously.

Bunker Lake Redevelopment Project Area Options
Mr. Neumeister reviewed his memo to the EDA regarding three options available to them
for the redevelopment of the Bunker Lake Boulevard area, The options include
strengthening the rental licensing requirements and inspection of the rental units, setting
up a new Tax Increment District to do site acquisition, relocation, demolition and resale
of the property, or consider a mixed-use development.
Mr. Erar noted that there was a presentation at the League of Minnesota Cities
Conference regarding a program where the EDA would own the land in perpetuity and
there would be restrictions where the owner could not sell the home for more than a
certain percentage of the increase in the value. He also suggested that the EDA might
want to consider using the TIF funds from Andover Station to redevelop this area.
Councilmember Orttel felt that a buffer could be put along Bunker Lake Boulevard and
asked what the cost to plant pine trees would be.
Mr. Neumeister stated that staff would look at how the city can upgrade the standards for
the type of housing that is in place. They will also put together an estimate of
landscaping costs and investigate a revolving loan fund.
Other Business
Councilmember Jacobson asked how the roof on Tanner's Steakhouse is looking. Mr.
Erar noted that they are trying to find something to disguise the roof units.
Motion by Orttel, seconded by Knight to adjourn. Motion carried unanimously.

INTRODUCTION
United Properties (UP) representatives will be in attendance to propose a medical office building
complex on the west side of Jay Street opposite Tanner's Steakhouse. '
DISCUSSION
Medical office buildings are a pennitted use in the Andover Station area. United Properties will
present a colored rendering of the facility, along with materials for Board review. Lease tenants for
the facility are currently being negotiated by UP. Staff has met with UP representatives and
considers the proposal to meet the purpose and intent of the Andover Station development plan.
The property in question is covered under the option agreement previously approved by the Board.
If the Board approves of the proposal, staff will negotiate a suitable purchase agreement with UP
and bring the agreement back to the Board for formal approval. Construction approval processes
will be reviewed through normal City planning and building pennit policies.
BUDGET IMPACT
Sale revenues from this property will be allocated to the EDA Special Revenue Fund, along with
appropriate assignment of proceeds as required to tax increment debt service requirements and
broker fees.
ACTION REQUIRED
Consider the medical office building proposal from UP and provide direction to staff regarding the
advancement of the project.

INTRODUCTION
On June 25, 2002, the EDA Board received four different proposals from development groups
regarding the redevelopment of residentially zoned property formerly known as the Hans Hagen
site. The preferred residential developer was identified as Boz Construction LLC by the Board.
DISCUSSION
According to United Properties representatives, the sale of the property to Boz Construction is
imminent. Final details associated with the purchase agreement are being negotiated. Community
Development staff have met with Boz Construction representatives relative to the preliminary plat
and the review comments that were previously submitted to Hans Hagen Homes.
As the preliminary plat for this site was previously submitted to staff for review, planning comments
from the first review have been provided to Boz Construction. Staff is waiting for a response to
those comments, before proceeding forward to the Planning and Zoning Commission.
BUDGET IMPACT
The sale of this property will generate additional revenues over and above original EDA estimates of
approximately $130,000. Proceeds from this sale will be assigned to the EDA Special Revenue Fund,
with appropriate allocations to TIF debt service requirements and brokerage fees. A final calculation
will be presented to the Board following the sale of this property to Boz Construction. The EDA
Board will recall that UP has an option on this property of which the EDA has already received
approximately $452,000 as a credit against the sale price of $3.20 per square foot. Under the terms
of the development contract, the EDA will receive an additional 50% split of the sale price that
exceeds $2.00 per sq. ft. to Boz Construction.

INTRODUCTION
Staff has met with Ryan Properties to begin the site development and acquisition negotiation
process. Before substantial site development can begin, the EDA will need to provide potential
buyers with an ALTA Survey. It is my understanding that the EDA approved a similar expenditure
for the Andover Station site prior to land sale negotiations with interested buyers.
DISCUSSION
An ALTA Survey provides a boundary survey of the property and enables potential buyers and
sellers to make an informed decision on an appropriate sale price for a subject piece of property. In
this particular case, staff has determined that an ALTA survey should be prepared for the entire
Andover Station North site to avoid having to prepare multiple surveys that would increase both the
cumulative costs and add unnecessary time delays to site development offers from other potential
buyers.
The ALTA survey provides exact land characteristics and measurements, including locating and
showing all easements and underground utilities. I have attached proposals from three firms that
staff has contacted that includes a quote for an ALTA survey and a Topographical Survey. A
Topographical Survey is not necessary at this point until the actual grading plan is prepared.
The three proposals received are as follows:

BUDGET IMPACT
Funding for the ALTA Survey would be underwritten through EDA Special Revenue funds.

Terms of ALTA Survey Proposal
Bolton & Menk, Inc.
The accompanying Proposal (hereinafter referred to as "Proposal") is subject to the following tenus and
conditions. These Terms of Proposal (hereinafter referred to as "Terms") are an integral part ofthe
accompanying Proposal as if stated directly therein. No change or deviation from these Terms will be binding
without the written approval of Bolton & Menk, Inc. (BMI). Such changes may require an adjustment in the
proposed fee, schedule or scope of Proposal
A. Services: BMI proposes to perform the services outlined in the Proposal for the stated fee arrangement. Changes
required by the Client or other controlling entities (regulatory agencies, contractors, CDUrts, etc.) from the scope Dr
schedule of services described in the Proposal shall be cDnsidered "Additional Services" and will be invoiced on an
hourly basis in addition to the stated fee arrangement.
B. Survey Standard: Survey services and Client obligations will be in accordance with "Minimum Standard Detail
Requirements for ALTAlACSM Land Title Surveys" as adopted by American Land Title AssociatiDn and
American Congress on Surveying & Mapping, (year) edition, hereinafter referred to as ALT A Standards.
OptiDnal Survey Responsibilities and Specifications (AL T A Table A) or any variation from the AL T A Standards must
be identified in the Client's Request for Proposal (RFP) Dr the Proposal.
C. Information from Client: Unless Dtherwise stated, Client agrees to provide BMI with all site information
necessary to complete the proposed services. This information includes current site property descriptions from a title
commitment together with cDpies of all legal documents affecting the site; copies of previDus surveys, maps,
engineering studies and plans; gDvernmental, regulatory and utility reviews and determinations; and all other pertinent
information known by Client which may affect title or use of the property. Client shall promptly inform BMI of any
alleged defects in services provided by BMI.
D. Access to Site: Unless otherwise stated, Client agrees tD provide BMI with access to the site, including adjoining
properties, for activities necessary for the performance of services. It is understood that in the nDrmal course of work,
property damage may occur due to excavations, tree and brush trimming, marking lines, etc. The cost to correct
resulting damages has not been included in the stated fee. BMI will take precautions to minimize damage due to these
activities and the Client agrees to reimburse 8MI for any CDsts associated with required restoratiDn work.
E. Certifications, ALTA: Unless specifically identified in the Client'sRFP or this Proposal, the survey certificatiDn
shall be limited to the standard certification from the AL T A Standards. Upon notice to Client, any non-AL T A
Standard certification may be revised at the discretion ofBMI, to accommodate non-certifiable physical conditions or
unknown and indeterminable matters. Certifications shall be made only to those parties identified in the Client's RFP
and the PrDpDSal. In recognition of increased liability and responsibility, BMI will be entitled to additional
compensation if it is required to add names to the certification, after acceptance of the Proposal.
F, Certifications, Genera): Any certification provided by BMI is a professional opiniDn based upon knowledge,
information and beliefs available to 8M! at the time of certification. Such certifications are not intended as and shall
not be construed as a guarantee or warranty. BMI shall not be required to certify the existence of conditions whose
existence BMI cannot reasonably ascertain.
G; Certifications, Successors/Assigns: Certifications are made as Df date of survey. Survey and title conditions may
change over time from those shown on the survey. Client is advised that updated surveys will be required to confirm
conditions affecting the site after the date of the certification, Fees to update surveys after issuance of certification are
not included in this Proposal and 8M! assumes no responsibility for use of or reliance upon survey after date of
issuance.
H. Standard of Care: Professional services provided under this Agreement will be conducted in a manner consistent
with that level of care and skill ordinarily exercised by members ofBMI's profession currently practicing under similar
/ conditions. BM! makes no expressed or implied warranty with respect to its undertakings described herein.

I. Utilities: Utility information is intended to show availability of service to the site and potential encroachment Dr
adverse claims, only. Utilities will be IDeated from available utility records, utility. company cDntacts and surface
evidence of underground improvements. Some subsurface improvements can be located only through direct excavation
and may not be disclosed by a surveyor standard utility location procedures. BM! assumes no responsibility for
matters arising from mis-IDcated or un-located subsurface utilities.
J. Project Approval: Due to site limitations, fmancing requirements, code interpretations, regulatory reviews, and
other considerations, BMI makes no representations as to feasibility or approvability of the project. Payment offees tD
BMI is not contingent upon project approval.
K. Ownership and Alteration of Documents: All documents, including repDrts, drawings, field data, notes and
documents or electronic media prepared or furnished by BMI under this agreement shall remain the property ofBMI.
The Client may make and retain copies for its use in connection with this project. However, such documents are not
intended fDr reuse by the Client on any Dther project or alteration of the project by others without the written consent of
BMI. Electronic media may be furnished for convenience of Cient; however, only signed and certified hard copies of
submittals may be relied upon as dDcumentation of professional services provided.
L Billings and Payments: Invoices fDr BMI's services shall be submitted, at BMI's option, either monthly or upon
cDmpletion of such services. Invoices are due and payable within 30 days after the invoice date. If the invoice is not
paid within 30 days, BMI may, without waiving any claim or right against the Client, and without liability what-soever
to the Client, terminate the performance of its services.
M. Late Payments: Accounts unpaid 30 days after the invoice date will be subject to a monthly service charge of
_ % on the unpaid balance. If any portion or all of an account remains lll1paid 90 days after billing, the Client shall
pay all costs of collection, including reasonable attorney's fees.
N. Termination of Services: This agreement may be terminated, upon written, notice, by the Client or BMI shDuld the
other fail to perform its obligations hereunder. In the event of termination, the Client shall pay BMI for services
rendered to the date of termination, all reimbursable expenses, and reimbursable termination expenses.
O. Limitation of Liability: In recognition of the relative risks, rewards and benefits of the project to both the
Client and BMI, the risl{s have been allocated such that the Client agrees that, to the fullest extent permitted by
law, BMI's total liability to the Client for any and all injuries, claims, losses, expenses, damages or claimed
expenses arising out ofthe performance ofthis agreement from any cause or canses, shall not exceed

breach of contract, or breach of warranty.
P. Dispute Resolution: Any claims or disputes made during or after the performance of services between BMI and
the Client, with the exception of claims by BMI for non-payment of services rendered, shall be submitted to mediation
and/or arbitration.
Q. Withdrawal of Proposal: This PropDsal constitutes a non-binding offer to perform services and BMI reserves the
right to withdraw Dr modify this proposal, without liability tD the Client, at any time prior to receipt of written
acceptance frDm the Client and execution of a signed agreement in accordance with Paragraph R.
R. Agreement: If the Proposal is accepted, the Client and BM! may enter into and execute an Agreement
incorporating the accompanying Proposal, these Tenns and such additional terms and conditions as may be mutually
acceptable to BMIand Client Upon request by the Client, BM! may, at its sole discretion and for the benefit of the
Client, proceed with any proposed services prior to execution of a written agreement. In the absence of a executed
written agreement, the accompanying Proposal and these Terms of Proposal shall constitute the whole and complete
agreement between BM! and the Client

INTRODUCTION
Staff has met with representatives from Ryan Properties to begin the process of detennining how
the site will be developed relative to public infrastructure including streets, utilities, regional storm
water ponding, internal street access issues, right-of-way requirements wetland delineation, public
investment/ special assessments, infrastructure staging and a site survey. Other issues separate from
this process include property sale negotiations, County access issues off of Hanson Boulevard, street
signalization, landscaping requirements, property owner association agreements and design
standards.
/ DISCUSSION
In order to begin this process, staff will need to prepare an overall grading plan that will serve to
identify street layouts, location of storm sewer ponding, utilities, internal road access and a variety of
site considerations important to the orderly development of the site. Typically, the preparation of a
site plan, which incorporates this type of physical infrastructure, is best accomplished through an
engineering services consulting proposal.
Given existing staff workloads and the need to bring in outside engineering expertise, staff is
recommending that the EDA authorize staff to solicit proposals from qualifying firms to assist the
Board in developing an overall infrastructure development plan. Infrastructure planning will be
critical to developing a sense of how best to develop the entire property to maximize both public
and private investments. It is my understanding, that this process is similar to how the Andover
Station site was developed in terms of public infrastructure.
BUDGET IMPACT
The solicitation of professional services will include a proposed cost for consulting services and will
be brought back to the EDA for approval. Costs for these consulting service will be underwritten
through EDA special revenues and through reimbursement associated with the either the sale of
property or through special assessments.

INTRODUCTION
In order to prepare for the future development of the Andover Station North site,
it is necessary to start the evaluation and design of the infrastructure for the area.
. / DISCUSSION
With the proposed development(s) for the Andover Station North site it will be
necessary to commence with the preparation of a project feasibility study to be
followed up with grading and infrastructure plans for the site. In order to insure
. that the site will adequately accommodate the staged "take down" of various size
sections of the approximately 100 acre site, it will be necessary to retain an
engineering consulting firm to address the following items:
1. Prepare a feasibility report for the construction of the north/south collector
. street (Jay Street) and utilities (Sanitary Sewer. Water main. and Storm
Sewer). The feasibility report will also estimate streetscape costs, street
lighting costs, signalization and lane widening for the intersection of
Hanson/139Ih, storm water ponding for the site and the mass grading of
the site. The feasibility report will address any potential assessments to
the adjacent properties. The scope of work does not anticipate the
construction of any internal connecting streets to the collector street (Jay
Street) at this time.
2. Prepare plans and specifications for the street and utility improvements.
The street construction will be designed and constructed to. State Aid
standards. It is anticipated that Municipal State Aid funds will be utilized
for the construction of Jay Street and any other eligible improvements.

3. Provide all topographical information of the site.
.4. Prepare a GradinglDrainage/Erosion control plan for the site. It is
\ currently anticipated that the site grading and any soil corrections (not
\,,,/ including the roadway or pond construction) will be performed by the
future developers of the property.
5. Provide project management and construction related services. (Anticipate
full time inspection and survey work as needed)
6. Perform a wetland delineation for the site.
7. Prepare a wetland mitigation plan if needed,
8. Obtain all permits for the site grading and street and utility construction.
9. Provide a pond design for a regional storm water pond for this site.
Provide all necessary hydrology and hydraulic calculations for the pond
design.
10. Provide a Right-of-Way Plat for Jay Street.
11. Administer the geotechnical/testing requirements for the project
construction.
12. Identify anticipated construction testing costs.
BUDGET IMPACT
The funding for this work will be from EDA Special Revenue Funds, to be
reimbursed from the land sale and/or assessments.
RECOMMENDATION
It is recommended to authorize City staff to solicit proposals from engineering
\ consulting firms to provide services for the scope of work identified above.
