WWW.C1.ANDOVER,MN,US TO: Mayor and Councilmembers FROM: John Erar, EDA Executive Director SUBJECT: Appointment of Officers - Economic Development Authority DATE: January 2, 2001 INTRODUCTION Pursuant to state law, the appointment and term of EDA Commission members is prescribed under M.S. 469.005, subd, 2. Council appointed seven members to serve on the EDA, with two non-voting members of the Commission. \ DISCUSSION . ) EDA meeting minutes from January 2, 2001 indicated that City Council Members were appointed to serve as EDA Board members, along with two residents, A review of the minutes leaves it unclear as to length of term appointment, so my office has interpreted the appointment as initial one-year terms. Earlier this year, the Council reduced Commission size from nine (9) to seven (7) members as required under state law, and allowed two commissioners to remain on the Board as non-voting members. In keeping with statutory guidelines, Council members who are appointed as commissioners of an EDA may set the length of ED A appointment to coincide with the expiration of their Council terms. Residents who are appointed for initial terms, subject to state statute, shall be reappointed for six (6) year terms. Accordingly, Council may wish to appoint the following Council members and residents to the following terms. L L L, \....(-1 (tI~'\~ \ 'I ,,0../2Z/Li CITY of ANDOVER ANDOVER ECONOMIC DEVELOPMENT AUTHORITY MEETING JANUARY 2,2001 - MINUTES A Meeting of the Andover Economic Development Authority was called to order by Mayor Mike Gamache on January 2, 2001, 8:18 p.m" at the Andover City Hall, 1685 Crosstown Boulevard NW, Andover, Minnesota, Present: Councilmembers Don Jacobson, Mike Knight, Ken Orttel, Julie Trude Resident members Robert Nowak and Bill Hupp Absent: None Also present: City Attorney, Barry Sullivan City Finance Director, Jim Dickinson Acting City Administrator, Dave Carlberg Others , APPOINTMENT OF OFFICERS Mayor Gamache recommended the following appointments: President - Mike Gamache; Vice President - Julie Trude; Secretary - Don Jacobson; Treasurer - Mike Knight; Assistant Treasurer - Ken OrtteI. Motion by Jacobson, Seconded by Orttel, that the Economic Development Authority officers be approved as nominated by the Mayor. (Resolution EDA 001-01) Motion carried unanimously. APPROVAL OF MINUTES December 12, 2000, Regular EDA meeting: Correct as written, December 19, 2000, Regular EDA meeting: Page 1, last paragraph, delete second sentence as it is repeated. TIle next sentence to be modified by deleting "If access and" and start with "The county is recommending..." Motion by Trude, Seconded by Orttel, to approve the Minutes of December 12 and December 19 EDA Meetings, Motion carried on a 6- Yes, I-Abstain (Gamache) vote. Andover Economic Development Authority Meeting Minutes - JanuGlY 2, 2001 ' Page 2 CONSIDER REAPPOINTING COMMISSIONER HUPP Mr, Hupp stated he would like to be reappointed to the Authority. Councilmember Orttel stated the policy has been that all positions be posted and applicants interviewed before appointments are made. The Authority generally agreed that should be the procedure. Mr. Carlberg stated Staff can advertise for the vacancy and applicants interviewed. Mr. H upp will continue to serve on the EDA until reappointed or replaced, Motioll by Trude, Seconded by Orttel, to so move. Motion carried unanimously. Table of Chapters J Table of contents for Chapter 469 469.095 Commissioners; appointment, terms, vacancies, pay, removal., Subdivision 1. Commissioners. Except as provided in subdivision 2, paragraph (d), an economic development authority shall consist of either three, five, or seven commissioners who shall be appointed after the enabling resolution provided for in section 469.093 becomes effective. The resolution must indicate the number of commissioners constituting the authority. Subd. 2. Appointment, terms; vacancies. (a) Three-member authority: the commissioners constituting a three-member authority, one of whom must be a member of the city council, shall be appointed by the mayor with the approval of the city council. Those initially appointed shall be appointed for terms of two, four, and six years, respectively. Thereafter all commissioners shall be appointed for six-year terms. (b) Five-member authority: the commissioners constituting a five-member authority, two of whom must be members of the city council, shall be appointed by the mayor with the approval of the city council. Those initially appointed shall be appointed for terms of two, three, four, five, and six years respectively. Thereafter all commissioners shall be appointed for six-year terms. , , (c) Seven-member authority: the commissioners constituting a seven-member authority, two of whom must be members of the city council, shall be appointed by the mayor with the approval of the city council. Those initially appointed shall be appointed for terms of one, two, three, four, and five years respectively and two members for six years. Thereafter all commissioners shall be appointed for six-year terms, (d) The enabling resolution may provide that the members of the city council shall serve as the commissioners. (e) The enabling resolution may provide for the appointment of members of the city council in excess of the number required in paragraphs (a), (b), and (c). (f) A vacancy is created in the membership of an authority when a city council member of the authority ends council membership. A vacancy for this or another reason must be filled for the balance of the unexpired term, in the manner in which the original appointment was made. The city council may set the term of the commissioners who are members of the city council to coincide with their term of office as members of the city council. Subd. 3. Increase in commission members. An authority may be increased from three to five or seven members, or from five to seven members by a resolution adopted by the city council following the procedure provided for modifying the I enabling resolution in section 469.093. 1 of2 12/26/2001 5:02 PM Minnesota Statutes 2001,469.095 http://www,revisor.leg.state.mn.us/statS!469/095,html Subd. 4. Compensation and reimbursement. A commissioner, including the president, shall be paid for attending each regular or special meeting of the authority in an amount to be determined by the city council. In addition to receiving pay for meetings, the commissioners may be reimbursed for actual expenses incurred in doing official business of the authority. All money paid for compensation or reimbursement must be paid out of the authority's budget. Subd. 5. Removal for cause. A commissioner may be removed by the city council for inefficiency, neglect of duty, or misconduct in office. A commissioner shall be removed only after a hearing. A copy of the charges must be given to the commissioner at least ten days before the hearing. The commissioner must be given an opportunity to be heard in person or by counsel at the hearing. When written charges have been submitted against a commissioner, the city council may temporarily suspend the commissioner. If the city council finds that those charges have not been substantiated, the commissioner shall be immediately reinstated. If a commissioner is removed, a record of the proceedings, together with the charges and findings, shall be filed in the office of the city clerk.
