9 A Meeting ofthe Andover Economic Development Authority was called to order by President Mike
10 Gamache, November 3, 2010,6:30 p.rn., at the Andover City Hall, 1685 Crosstown Boulevard NW,

21 October 19, 2010 Regular Meeting: Correct as amended.

23 Mr. Dickinson indicated on page 2, line 8 the word potential should be potentially.

25 Motion by Trude, Seconded by Jacobson, approval of the minutes as amended. Motion carried
26 unanimously.

28 APPROVE PURCHASE AGREEMENT/DYNAMIC SEALING TECHNOLOGIES

30 Mr. Dickinson reviewed the layout of the lots and the expansion of the current building. At the
31 last meeting there was a proposal from Dynamic Sealing to purchase both lots at the same price.
32 Dynamic Sealing would like to close by the end of20l0.

34 Mr. Dickinson reviewed the purchase agreement. The total sale would be $577,299. Park
35 dedications fees would be taken out of the sale price which would be allocated to the Park
36 Improvement Fund. Mr. Dickinson indicated non-residential water area charges and
37 assessments, sewer area charges and assessments and water and sewer lateral charges will be
38 included in the price. This is consistent with what has been applied with other lot sales.
39 Dynamic will be paying sewer and water access and connection charges. Dynamic will maintain
40 Lot 2 with turf and an irrigation system.

42 Mr. Dickinson stated the EDA warranty to Dynamic is that the parcel is buildable and without
43 the need of soil corrections. If there is any environmental remediation on the site it is the
44 responsibility of the EDA. The warranty is standard with all the lots that have been sold in the
45 area. At closing the EDA will provide a warranty deed for 24 months for Lot 3. Dynamic is
46 requesting a warranty on Lot 2 for 10 years.

48 Commissioner Nowak suggested once building begins on Lot 2 then the standard 2 year warranty

3 The 10 year warranty was discussed. It was discussed that the warranty for Lot 2 would be 10
4 years or upon completion of the Phase 3 expansion, which ever occurs first.

6 Motion by Trude, Seconded by Knight, approval of the purchase agreement with changes to
7 paragraphs 21 and 22 as discussed and authorizing the President and Executive Director to sign
8 the document. Motion carried 6 ayes, and 1 nay (Jacobson)

10 TIF DISTRICT FINANCIAL UPDATE

12 Mr. Dickinson indicated there are modifications to the TIF District financial report with the
13 potential sale of Lot 2 and 3 to Dynamic Sealing Technologies and potential project of business
14 reader boards.

16 Commissioner Trude suggested having a subcommittee for the reader boards and before making
17 a big expenditure to really look at what is out there. Mr. Dickinson suggested getting quotes
18 from 2 or 3 different companies and indicated this would be a winter project and would be
19 brought back for further review.

21 Mr. Dickinson reviewed the reader board concepts with the EDA.

23 Commissioner Trude indicated she has approached some of the County Commissioners about
24 getting a left turn lane westbound on Bunker Lake Boulevard into Target. She suggests to budget
25 funds for the project.

27 Mr. Dickinson stated the City would bear the cost of the project. The project plans would need
28 to meet the County design guidelines. Mr. Dickinson estimated the cost to be $80,000 to
29 $100,000. Mr. Dickinson stated this project does qualify for use ofTIF funds. The EDA
30 concurred to add this project to the project listing.

32 DISCUSS/APPROVE 2011 EDA BUDGET

34 Mr. Dickinson indicated the 2011 EDA budget is there for review. There will be one more EDA
35 meeting before the end of the year for approval.

10 A Meeting of the Andover Economic Development Authority was called to order by President
11 Mike Gamache, November 30, 2010, 6:00 p.m., at the Andover City Hall, 1685 Crosstown

23 PUBLIC HEARING LAND SALE

25 Mr. Dickinson stated the City Attorney has advised that according to State Statute, the EDA
26 must hold a public hearing prior to any land sales in the redevelopment area known as Andover
27 Station North. Lot 2, Block 3, and Lot 3, Block 3, Andover Station North are being sold to
28 Dynamic Sealing Technologies, Inc. The EDA had purchase agreements prepared, signed and
29 are pending a closing date.

31 Motion by Trude, Seconded by Bukkila to open the public hearing. Motion carried
32 unanimously.

36 Motion by Knight, Seconded by Trude to close the public hearing. Motion carried unanimously.

38 Mr. Dickinson stated the Authority is requested to approve the land sales.

3 APPROVE LMCIT LIABILITY COVERAGE

5 Mr. Dickinson stated the League of Minnesota Cities Insurance Trust (LMCIT) requested that
6 participating EDA's annually decide whether or not to waive the statutory tort liability limits
7 established by Minnesota Statutes 466.04. Currently the City of Andover EDA Does Not Waive
8 the monetary limits on municipal tort liability established by Minnesota Statutes 466.04. It was
9 recommended to continue with past practices.

11 Motion by Knight, Seconded by Trude, to approve the LMCIT Liability Coverage and to not
12 waive the monetary limits on tort liability established by Minnesota Statutes 466.04. Motion
13 carried unanimously.

15 Commissioner Knight asked why anyone would remove this. Mr. Dickinson explained some
16 possible reasons for removal of the coverage.

The EDA is requested to receive a brief Tax Increment Financing (TIF) District fmancial update.
DISCUSSION
The Executive Director will use the attached TIF Cash Flow Analysis as the basis for the TIF District
fmancial update and to facilitate discussion.
The primary updates to the attached analysis are updating of the potential land sales (Dynamic Sealing
Technologies Inc.) and the potential projects estimates (Business Reader Boards & Left Turn Lane
Improvement).

INTRODUCTION
For seven years the Annual Business Development Day (golf tournament) had been held at
Greenhaven. The EDA chose to go to "The Refuge" in Oak Grove in 2010, At the September
21, 2010 EDA meeting there was discussion about considering only those two courses as potential
sites for the 20 II annual event. The discussion was continued at the November 3, 20 I 0 meeting
but no decision was made that night.
We have obtained four price quotes and they are Greenhaven ($68,56), "The Refuge" ($72), "The
Links at Northfork" ($65), and Majestic Oaks ($68.56). All golf courses quoted golf and a sirloin
steak dinner. See attachments. Note that the proposal from Majestic Oaks included one free
round of golf for each person who plays in the tournament as well as some rounds of golf for door
prizes. When that is brought into the equation, staff feels that their course and price would be the
best option to choose for 2011,
ACTION REOUESTED
The question for the EDA is which facility would the EDA like to have the 2011 event to promote
business and development networking.

f(wik Trip Motor Fuel/Convenience Store/Car Wash - The building is under construction.
Kwik Trip plans to open before Christmas, The Bunker Lake Boulevard frontage road, Jay Street
realignment and median projects came in under the estimate.
2010 Special EDA Events - The EDA received one thank you letter from an Andover business
regarding the Twins tickets. The EDA concurred, no Twins event in 2011. There was very
positive feedback regarding the golf event. EDA directed staffto look at both Green Haven and P=

Music at Andover Station Pergola - The EDA would like 2-3 music events held at Andover
Station in 2011. Commissioner Knight suggested one of the events has music from the high
school. Commissioner Jacobson requested having a different style of music for each event. The

INTRODUCTION
Community "Bulletin Board" Signs - A quote for an electronic (LED) sign was reviewed with the
EDA at the September 21 st and October 19th meetings. The EDA wanted some revisions to the
proposed sign and staff has obtained a new quote based on the desired changes (see attached). Staff
has obtained two quotes (AIM Electronics & Leroy Signs) for single and double-sided electronic signs.
Please note the quotes did not include the stone columns and they were amber but color is an option if
the EDA wants color. Leroy Signs also quoted a "Watchfire" sign which is a little cheaper (see Leroy
Signs quote) and has a better extended warranty than the "Daktronics" sign. Staff would still need to
work with a stone mason for a quote (on stonework) if the EDA chooses to order the sign work to
move ahead with the two stone columns.
Wooden Monument Entrance Signs - Also, the EDA discussed entrance monument signs and staff
had the option on the words changed to meet the EDA's desired choice of "Welcome Home" (see
attached drawing). Staff was also directed to obtain quotes for the stonework. The EDA is asked to
discuss the wooden monument entrance signs further and provide staff direction. Also attached is a
landscaping plan for the monument signs that was done with the assistance of EDA member, Joyce
Twistol.
Sign Locations and Types. The EDA needs to decide where the signs will be located and which signs
will be at what location. See the attachment labeled "Potential locations of signs" for 7 possible
locations.

INTRODUCTION
This memo provides a brief update of all development activities in the Andover Station area:
Kwik Trip Motor Fuel/Convenience Store/Car Wash - The store is projected to open on December 22nd .
Dynamic Sealing Technologies, Inc. Closing- Staff is working on closing on the land purchase (Jan. 20th).
Glass Slipper Bridal Salon - Staff has been in communication with the owner regarding possible site
acquisition in Andover Station North. The owners are quite interested in acquiring the site next to the
Foundation Hill Daycare-Montessori School to build a larger space (8,000 square feet). They currently
occupy a small space in the retail center owned by Louis Rudnicki. They would like to build the building
that Laura Heppner had designed for that lot (see attached drawings - pgs.3-S).
2011 Special EDA Events - The choice of venue for the golf event will be discussed by the EDA tonight.
Staff would like to book the performers for 20 II relative to the three "Music at Andover Station" events.
Staff has contacted Oakview Middle School for a late May (concert band) performance and also we have
contacted the "Blue Drifters" for a mid-July (b]uegrass) concert. The EDA members are asked to choose the
type of music they want for the third concert in the fall of 20 II and staff will search out performers to meet
the EDA's choice.
Andover Station North Owners Association Annual Meeting - Staff prepared and mailed out the necessary
agenda and details of the assessments. The meeting is scheduled for 4:30 p.m. January 4th in Conference
Room A.
Site Design for Parking Lot - Staff has begun to design the driveway and parking lot plans for the 1.2 acre
site (Lot 2, Block I) next to the ball field. The design allows the possibility that a portion of the site could be
reserved for a small (8,000 sq.ft.) office building. The dual use of the parking area would be possible since
office users need the spaces during the day and that wouldn't conflict with the nighttime ball play. See
drawing on reverse side. This driveway/parking lot is being budgeted for EDA construction in 20 II.

The EDA is asked to discuss the various items listed above.
