(Trude absent) 34 35 DISCUSS CHANGES IN ALLOWABLE USES/POTENTIAL LAND SALE TO EDDY PRATER 36 37 Mr. Neumeister stated this item has been discussed with the EDA since May 6th of2008. The 38 point of the matter is tonight you need to decide if the allowable uses are going to be changed so 39 such auto industries can go into Andover Station North. 40 41 President Gamache stated Mr. Prater has brought in a plan. Number one issue is whether we 42 want to change the allowable uses. At past meetings we've discussed it and the consensus was to 43 look and see what was brought in. Do we want to see the presentation or vote on changing the d: allowable uses? 46 Motion by Jacobson, Seconded by Trude, not to change allowable uses in Andover Station 47 North. 48 0 Andover Economic Development Authority Meeting Minutes - September 2, 2008 Page 2 1 Voting Resident Member Nowak stated he had numerous phone calls and emails from residents 2 not in favor of this business in Andover Station North. 3 4 Motion carried 5 ayes, 2 nays (Gamache and Orttel). 5 6 7 UPDATE ECONOMIC DEVELOPMENT ACTIVITIES 8 9 10 Mr. Neumeister updated on the following: 11 12 Foundation Hill Day Care & Montessori School- Opened September 2nd and has 35 children 13 enrolled. 14 15 Blue Fin Pool & Spa - They are working on getting an SBA loan. They would like to use the 16 same contractor as Foundation Hill. They are requesting a time extension on their purchase 17 agreement of30 days from September 15th, 2008. 18 ~~ MOTION by Trude, Seconded by Knight, to extend date of closing in the purchase agreement with Mr. Brenner (Blue Fin Pool & Spa) to October 15,2008. Motion carried unanimously. 21 22 Moose & Co. Grill House - Construction could begin in the next 2-3 weeks. They down sized 23 their patio seating so no shared parking agreement is needed. 24 25 Dynamic Sealing Technologies - They plan to move into their new building the end of 26 September. 27 28 Monument Sign - Mr. Neumeister indi~ated the construction of the 2nd sign located at 139th 29 A venue is underway. 30 31 DISCUSS TIME EXTENSION REQUEST (LAURA HEPPNER/GOLD EAGLE II) 32 33 Mr. Neumeister stated Laura Heppner/Gold Eagle II is requesting a six month time extension to 34 obtain her fmancing and to put the proper tenants in the building. 35 36 MOTION by Orttel, Seconded by Knight, to extend the expiration date on the purchase 37 agreement with Laura Heppner/Gold Eagle II to May 15,2009. Motion carried unanimously. 38 39 OTHER BUSINESS O~ Commissioner Jacobson asked about Bruggeman. Mr. Dickinson stated at this time Bruggeman 42 plans to honor the note as presented. They believe it's too premature to negotiate the note. That 43 could change closer to the end of the year. 44 0 Andover Economic Development Authority Meeting Minutes - September 2, 2008 Page 3 I Commissioner Orttel asked about the street light being installed at I 39th Avenue and Hanson 2 Boulevard. Mr. Berkowitz explained the street light and turn lanes. 3 4 Commissioner Knight asked about Hughes Industrial. Mr. Dickinson stated code enforcement is 5 moving along. Since the tax increment district was created, as of yet no project has been brought 6 forward. If a project does not come forward within the next year those parcels will fall out of the 7 district. 8 9 Motion by Jacobson, Seconded by Knight, to adjourn. Motion carried unanimously. TO: EDA President and Board ~ CC: Jim Dickinson, Executive Directo ' I FROM: Will Neumeister, Director of Community Development tt/ch- SUBJECT: Review Various Blue Fin Pool & Spa Issues DATE: October 7, 2008 INTRODUCTION The EDA is asked to review three issues related to the Blue Fin Pool & Spa deal: 1. Time Extension to closing date (move it out another month) 2. Remove Merit Custom Homes from agreement (no payment of3% commission) 0 3. Outdoor display (location and number of days each year) DISCUSSION The buyer, Scot Brenner (Blue Fin Pool & Spa) is nearly finished getting his financing approved and the Commercial Site Plan review is in process. Mr, Brenner does not want to close until all the plans have been approved and loose ends tied off. Therefore, the first issue . involves allowing one additional month to complete his due diligence and close by November 15,2008. It will likely be done in the next two weeks, however we don't know for sure. One additional month should be more than adequate to complete all final details. The second issue relates to removing a clause in the original purchase agreement. Paragraph 9 of the original purchase agreement stated: 9. BROKERAGE. The Seller agrees to pay a 3% "Representation Fee" to Merit Custom Homes, Inc. upon successful closing of the Property. Mr. Brenner is no longer working with Merit Custom Homes, Inc. If Mr. Brenner provides the City EDA a letter indicating he is responsible for paying Merit Custom Homes, Inc. any fees that may be due from their prior commitments to the work that was done, then staff 0 recommends amending the Purchase Agreement and removing paragraph 9. The City Attorney may want a sign off from Merit Homes also. We will provide an update on this at the EDA meeting. Mr. Brenner has selected a different contractor and making this change would reduce the dollar amount that is needed at closing if the 3 percent does not have to be 0 paid. As long as the EDA would still be paid the same net proceeds at closing this is agreeable to staff (with written agreements as noted). The third issue relates to the EDA making a change to the excluded uses list in the Andover Station North Design Guidelines to allow outdoor display and sales. Mr. Brenner has always represented that he would like approval to have special outdoor display and sales on the sidewalk along the west side of the building (on a limited basis). The issue the EDA needs to decide is how long each year the outdoor sales would be allowed and how much of the sidewalk area along the west side of the proposed building may be occupied with pools and spas. The attached drawing shows what Mr. Brenner is proposing and he will explain at the meeting the number of days each year he needs to have the outdoor display and sales. The EDA is asked to review and determine what they will approve and if the excluded uses list of the Andover Station North Design Guidelines should be amended or not. Please remember the outdoor display and sales will also require approval of a Conditional Use Permit by the City Council. PARTIES. This Purchase Agreement is made on M:r, /} , 2008, by and between Andover Economic Development Authority AEDA), a body corporate and politic, 1685 Crosstown Boulevard NW, Andover, Minnesota, ("Seller") and Blue Fin Pool and Spa, Inc., a Minnesota corporation, 3603 Round Lake Boulevard (Suite 101), Anoka, MN 55303,and/or their assigns ("Buyer"). 2. OFFER/ ACCEPTANCE. Buyer agrees to purchase and Seller agrees to sell real property legally described as follows: The north 100 feet of the following described parcel (Property): That part of Lot 5, Block 3, Andover Station North, Anoka County, Minnesota, lying south of the north 195 feet thereof; and together with a cross easement agreement for driveway purposes over the adjoining parcel to the south, as generally shown on 0 Exhibit A attached hereto and made a part hereof 3. PURCHASE OF LOT WITH BUILDING OR VACANT LOT. (Check paragraph that pertains.) A. Buyer is purchasing the lot with an existing building. X B. Buyer is purchasing a vacant lot. 4. PRICE AND TERMS. The price for the real property included in < this sale: Two Hundred Ten Thousand and 00/100 Dollars ($210,000.00). This price includes $190,909.09 for land and $19,090.91 for park dedication fees, which Buyer shall pay as follows: Earnest money of Five Thousand and nol 100 Dollars ($5,000.00) by check, receipt of which is hereby acknowledged, and Two Hundred Five Thousand and 00/100 Dollars ($205,000.00) cash on or before July 15, 2008 ("Closing Date"). In the event that Buyer has not completed its due diligence by June 30, 2008, Seller will consider extending the Closing Date an additional sixty (60) days if the Buyer can prove that they are engaged in the process of obtaining approvals and 'permits set forth in Section 5(b) below, and is in the process of obtaining financing, and has proven that they are financially capable of completing the purchase. If Buyer cancels this Agreement in writing at any time during the due diligence period, including the 0 potential sixty day extension of the Closing Date, Buyer's earnest money shall .,%. -$'-- 0 be completely refunded to the Buyer within ten (10) business days of Seller's receipt of the written notice of cancellation. The purchase price is based on a lot size estimated to be 32,482 square feet of gross area (once the property is [mal platted as a 100 foot wide !at). The price herein represents a net per square foot price of $6.50 ($5.85 per square ( foot for property inclusive of all assessments/water and sewer area charges and a $0.65 per square foot for park/trail dedication fees). The gross area of the lot does not include the area of the cross access agreement. Said price includes the land price, park dedication fees, all water and sewer area and connection charges for the initial building construction, and all assessments for street, curb and gutter, sidewalks, storm sewer, sanitary sewer, and water main assessments. 5. CONTINGENCIES. Buyer's obligations under this Purchase Agreement are contingent upon the following: (a) Seller shall permit Buyer, at Buyer's expense, to enter the Property to conduct investigations and testing and Buyer shall be completely satisfied 0 with the environmental and soil conditions of the Property, as determined by Buyer in Buyer's sole discretion. (b) Buyer shall have obtained all zoning, land use, signage, watershed, environmental and other governmental approvals and permits Buyer shall deem necessary to use the Property in the manner contemplated by Buyer, including, but not limited to, a full building permit for a building conforming to Seller's design standards which Buyer determines can be built for a price acceptable to Buyer, all as determined by Buyer in Buyer's sole discretion. (c) Buyer shall have determined that the roads, easements, driveways, utilities, points of access and other infrastructure serving the Property will be adequate for Buyer's purposes, as determined by Buyer in Buyer's sole discretion. (d) On or before the Closing Date, Title shall have been found acceptable, in accordance with the requirements and terms of Sections 14 and 15 below. "Adult Uses" as regulated by City Ordinances SECTION 2 PROJECT DESIGN STANDARDS The purpose of the Andover Station North development is to provide for the orderly and integrated development of a high quality Commercial Center that includes a mix of shops, offices, office/showroom., entertainment, housing, recreation, community facilities, and open space. The Andover Station North Design Standards are.intended to encourage creative application of specific design principles to the Property. The goal of the design review process is to provide a framework for performance based communication, collaboration, negotiation and 0 accommodation. The following are the primary categories of the Andover Station North Design Standards: 2.01 Site Plan 2.02 Landscaping 2.03 Architecture 2.04 Parking 2.05 Lighting 2.06 Signage 2.07 Minimum Standards 2.08 Maintenance, 'Alterations, Construction, Noxious Activities, Temporary Structures 2.09 Residential Design Standards 2.01 Site Plan - Each site plan submitted within the Property shall be reviewed to be in substantial compliance with the following: A. Site Planning to Preserve Natural Assets-While the network of required streets is fixed, many site decisions remain for other streets and for buildings. B. Mr. T's Dry Cleaners - The EDA approved the site and architectural plans and a time extension to May 2009 to take down the land. Staff is providing leads and assistance to Laura Heppner, so that she can move ahead to build the entire building in the spring. Blue Fin Pool & Spa - They are in the fmal stages of getting financing for an SBA loan; working through the Commercial Site Plan (SCP) review process and have applied for a building permit. The water main and sanitary 0 sewer were installed in September to serve the site. They are waiting to close and will get under construction once they know all the City comments ,on the CSP. Various deal point issues are being reviewed by the EDA this evening. Moose & Co. Grill House - They purchased the property on April 1 st; CUP for the on-sale liquor was approved AprillSth ; they completed the Commercial Site Plan review and the building permit is sitting here ready to go. They are fighting Metro Waste Control Commission on the number of SAC units they need to pay. This has caused some of the delay, but getting permanent financing may be the biggest hurdle for them. Also they found that there were "loose" soils on the property and this will cost them a more than originally anticipated to compact,. Light Industrial Building (Dynamic Sealing Technologies) - They have moved into the building and had an Open House on Friday, October 3rd . OffICe Development - Staff has been marketing the site through both the MSP and CoStar websites. Staff will continue to market the site and if any potential buyers surface we will bring forward any and all offers. Once the street at 139th is open and the new monument sign is completed, that should help to make things easier to sell. Monument Sign - LeRoy Sign Company has begun building the next new sign along Hanson Blvd. (at 139th Avenue) and now it is expected to be done by the third week of October. It will look exactly like the new one on Bunker Lake Blvd., just east of First Regions Bank. Kwik Trip Convenience Store/Car Wash - Kwik Trip has been waiting for Eddy to fmd a place to move. They have approached Kottkes Bus about buying the vacant land east of their current site. They would need a CUP for Auto body repair and outdoor storage.
