OCTOBER 17, 2006 - MINUTES
A Meeting of the Andover Economic Development Authority was called to order by President Mike
Gamache, October 17, 2006, 6:01p.m., at the Andover City Hall, 1685 Crosstown Boulevard NW,
Andover, Minnesota.

MOTION by Jacobson, Seconded by Knight, approval of the Minutes as written. Motion carried

DISCUSS BUSINESS SUBSIDY REQUEST
Executive Director Dickinson explained Rumblebee Properties has requested business assistance
fmancing from the EDA. The property is located in the recently created Tax Increment
Financing (TIP) district 1-4, an area just east of Round Lake Boulevard and north of 161 Avenue.
Mr. Dickinson reviewed the pre-application with the Commission.
Commissioner Jacobson stated on page 4, part of this is the auto sales. Regarding parking, this
was what was in the original application for auto sales. He did not think they had thirty more
spots for parking in the auto sales plan.

Commissioner Trude wondered how many acres this is. Mr. Dickinson indicated the total area is
38,950 square feet. Commissioner Trude wondered if they would do a calculation based on
square footage. Mr. Dickinson explained how they would calculate the price. $400,000 is a
more realistic amount. The property is worth about $275,000 now.
Commissioner Jacobson wondered what the loan would consist of. He did not think this

included the building. Mr. Dickinson indicated in this area, TIF money can be used for buildings
because it is a redevelopment area but it is not for the building.
Commissioner Trude thought they would have to fix the building up to make the TIP loan
worthwhile.
Commissioner Trude wondered if there is any hope for that area if they do not do any TIP. Mr.
Dickinson stated the last person he talked to and told them what they would need to do to qualify,
has not contacted him and that was nine months ago.
Commissioner Trude thought they may need to have a meeting with the property owners in that
area to see what their plans are. Mr. Dickinson stated they are currently in year two of the TIP
district and they have four years before the parcels would fallout of the districtif there is not any
activity.
Commissioner Trude asked if they should have a business success record in order to do a TIP.
Mr. Dickinson stated they would need a requirement that they would need to stay in business as
long as they have the TIP ~d also a previous record of some success.
Commissioner Knight asked if they have a right to look at their books. Mr. Dickinson stated they
could. The applicant will have to meet the "but for" test and show a P&L Statement.
Commissioner Knight thought they have a double risk going on here. Commissioner Trude
thought the City has a limited risk and that the bank would carry on all of the risk.
Mr. Dickinson read an email from Mr. Nowak indicating they need to limit the payback to ten
years and they need to look at the P&L before making a decision.
President Gamache wondered if the applicant will even want to do this with the presented price.
Mr. Dickinson stated he needs to bring this to the applicant.
Commissioner Jacobson wondered why they are letting him go into business without getting all
the requirements done. Mr. Neumeister stated his approval at the City Council was the
stipulation that the requirements be done. He is trying to get them done with TIP approval.
Ms. Twistol indicated it would be nice if they did some fayade improvements instead of just
parking lot improvements.
UPDATE ON ECONOMIC DEVELOPMENT ACTIVITIES
Community Development Director Neumeister reviewed the EDA activities related to Andover
Station North that the City staff have recently been engaged in.

OTHER BUSINESS
Andover City Flag - Mr. Dickinson reviewed a flag proposal for the City. Commissioner
Jacobson wondered ifthey should use cream for a background color instead of white. Ms.
Twistol indicated she would like to see a border around the flag and that she likes the white
background because it makes the emblem stand out more.
Motion by Jacobson, Seconded by Trude, to adjourn. Motion carried unanimously. The meeting
adjourned at 6:44 p.m.

INTRODUCTION
Activity in the current bond market is indicating that there may be an opportunity for the EDA
to potentially save some significant long term debt service expense by refinancing the EDA's
$19,640,000 Public Facility Lease Revenue Bonds, Series 2004.
DISCUSSION
City Staff has been working with an underwriter (Northland Securities), our fiscal advisor
(Ehlers & Associates), and the City's bond counsel (Briggs & Morgan) to explore whether or
not the time is right to refinance the Community Center Bonds.
The EDA, dependent on market conditions may be considering a negotiated land sale based
on the approved "parameters resolution" where the EDA Board of Commissioners
authorized, the City Administrator, City of Andover, Minnesota, to execute a Bond Purchase
Agreement which will approve the sale of the Bonds to Northland, provided that the total net
savings accomplished by the refunding is at an amount set by the EDA (minimum $800,000)
and the net present value savings as a percentage of the present value of the refunded debt
service ofthe 2004 Bonds is at an acceptable percentage (3%).
ACTION REQUESTED
If market conditions were favorable, the Administrator will present the bond sale results to the
EDA for approval. If market conditions were not favorable, the EDA will just move on to the
next agenda item.

INTRODUCTION
The final adjustments to the language for the EPA's release of institutional controls have been
completed and now we are ready to close with Bruggeman Properties on the land that was
exchanged with Brad Povlitzki. The developer has requested that the payment be deferred and a
new mortgage be written to allow them to "take down" the property in 2007 rather than by
December 31, 2006 as was originally contemplated.
DISCUSSION
Attached is a letter from Bruggeman Properties requesting amendments to the purchase agreement
for the land that the City exchanged with Brad Povlitzki. It identifies a $5,000 payment and the
balance of the money owed would be carried under a new mortgage with the EDA for $119,000
with a 6% annual interest carrying charge. The City Attorney advised a separate mortgage be
written rather than amending the original note that the developer has with the EDA for the other
land that they purchased.
ACTION REOUESTED
EDA is requested to review the request to amend the purchase agreement and allow the developer
to pay $5,000 to close on the property and the balance of $119,000 would be covered by a new
mortgage. If this is agreeable with the EDA, authorize the City Attorney to prepare an
amendment to the purchase agreement as requested by Bruggeman Properies. Note that the subject
parcel has been subdivided for the townhome development that Bruggeman is developing and is
now known as Lots lA, 4A, 5, 6, 7A, lOA, 13 A, 14, 15, 16A, 19A, Block 2, Parkside at Andover
Station (see attached drawing).

Re: Parkside at Andover Station
Dear Jim,
As you are aware, the Andover Economic Development Authority (EDA) is proceeding with the removal of
the title objection and has requested the closing of the Povlilzki property under our Purchase Agreement
dated February 13, 2006. Due to recent uncertainty in the housing market, Bruggeman Properties is
requesting the assistance of the EDA. We have made a significant investment in the site including the
construction of site improvements and the start of 20 townhome units. In spite of excellent buyer traffic in
the recent Parade of Homes event, home purchase contracts remain significantly below expectations.
Therefore; Bruggeman Properties, LLC respectfully request the EDA to defer certain financial obligations
through the consideration of an amendment to the purchase agreement to reflect the following tenns and
conditions:
1) Amend the Amendment to Purchase Agreement dated June 6,.2006, Paragraph 3 to set a
Povlitzki Parcel Closing Date no later than December, 15, 2006, subject to other tenns and
conditions of the amendment.
2) $5,000 cash on the Povlitzki Parcel Closing Date.
3) Provide for $119,000 in seller financing, by buyer executing with seller a purchase money note and
purchase money mortgage having the following essential tenns:
i. . Simple interest on the unpaid principal balance at the rate of six percent (6%) per
annum, payable on December 31,2007;
ii. Buyer may prepay principal, interest, or installments in whole or in part, at any
time without penalty;
Hi. Payments shall be credited first to interest and the balance to principal;
iv. Buyer is entitled to apply any insurance or condemnation proceeds towards the
repair, reconstruction, or rehabilitation of the Property;
v. In consideration of the principal reduction of Fifteen Thousand Five Hundred
Dollars ($15,500) on the purchase money mortgage, buyer shall be entitled to
and seller shall release from the mortgage one (1) townhome lot. The
designation and location of such lot shall be at buyer's discretion; provided,
however, that no less than all four lots comprising half of an eight-unit building
shall be released at one time unless all eight townhomes in that building are
framed up and enclosed, in which case Buyer shall be entitled to have individual
lots in the building released in increments of one or more lots; and
vi. The entire remaining principal balance of the purchase money mortgage shall be
due on December 31, 2007

The terms of the proposed purchase money note and mortgage are similar to the existing note and
mortgage with the exception of the earlier due date of December 31, 2007.

AMENDMENT TO
PURCHASE AGREEMENT
(ADJACENT PARCELS)
THIS AMENDMENT TO PURCHASE AGREEMENT (this "Amendment"), made as of
June 6, 2006, is by and between Andover Economic Development Authority, a body
corporate and politic ("Seller"), and Sunrise Properties, LLC, a Minnesota limited
liability company, and/or assigns ("Buyer").
WITNESSETH:
WHEREAS, Seller and Buyer are the parties to the Purchase Agreement (Adjacent
Parcels) dated February 13, 2006 (the "Original Agreement").
o
WHEREAS, the "Property" under the Original Agreement consists of two parcels
aggregating approximately 1.55 acres in Andover, County of Anoka, State of Minnesota,
one of which is legally described on the Exhibit A attached to this Amendment (the
"EDA Parcel"), and the other of which is legally described on the Exhibit B attached to
this Amendment (the "Povlitski Parcel"). Buyer has objected to the prohibition on
residential development (the "Development Restriction") contained in the Memorandum
of Institutional Controls recorded as document number 1 079894 that encumbers the
Povlitski Parcel, and Seller and Buyer have agreed to defer the closing of the sale of the
Povlitski Parcel pursuant to the terms of this Amendment.
WHEREAS, Seller desires to sell the Property, and Buyer desires to purchase the
Property;
NOW, THEREFORE, the parties hereby agree as follows:
1. Interpretation. The Original Agreement remains in full force and effect,
as amended by this Amendment. The Original Agreement, as amended by this
Amendment, is the "Agreement". Each capitalized term in this Amendment that this
Amendment does not define has the meaning the Original Agreement gives it.
2. Closing on EDA Parcel. Buyer has assigned its right to purchase the
EDA Parcel under the Agreement to its affiliate Bruggeman Properties, LLC and Seller
and Bruggeman Properties, LLC are closing on the sale and purchase of the EDA parcel
on the date of this Amendment (the "EDA Parcel Closing Date") pursuant t"o the
Original Agreement, except that, notwithstanding anything in the Original Agreement to
the contrary, on the EDA Parcel Closing Date:

a. Seller shall record a release of the EDA Parcel from the
Declaration of Covenants, Conditions and Restrictions with Easements dated June
6,2005 and recorded as document number 1975815.001;
b. Seller shall record an Amendment to Stormwater Facilities
Maintenance Agreement in the form attached to this Amendment as Exhibit C;

c. Seller sball convey the EDA Parcei to Bruggeman Properties, LLC
and Bruggeman Properties, LLC shall pay, as the Purchase Price payable with
respect to the EDA Parcel, $72,000, subject to adjustments and prorations with
respect to the EDA Parcel for which the Original Agreement provides;
d. the $7,500 earnest money that Buyer paid under the Agreement
sball be applied to the Purchase Price payable under the preceding Section 2.c
with respect to the EDA Parcel;
e. Seller sball execute and deliver the plat of Parkside at Andover
Station that has been approved by the City of Andover (the "Plat"), and sball
cause the owner of the Povlitski Parcel to sign and execute the Plat to plat the
Povlitski Parcel; and
f. Seller sball cause the owner of the Povlitski Parcel to execute and
deliver recordable agreement, on terms acceptable to Buyer in its sole discretion,
concerning the re-platting and re-conveyance of lots if the closing of the sale of
the Povlitski Parcel does not occur in accordance with the Agreement.

3. Closing on Povlitski Parcel. Seller sball diligently and in good faith
make all commercially reasonable efforts to cause the Povlitski Parcel to be released from
the Development Restriction as soon as is reasonably practicable. Buyer hereby assigns
to Bruggeman Properties, LLC the right to purchase the Povlitski Parcel pursuant to the
Agreement. When Seller has obtained the release of the Development Restriction, Seller
shall give Bruggeman Properties, LLC notice and Seller and Bruggeman Properties, LLC,
sball close upon the sale and purchase of the Povlitski Parcel pursuant to the Original
Agreement 30 days after Seller's notice to close or on any other date upon which Seller
and Bruggeman Properties, LLC agree (the "Povlitski Parcel Closing Date"), except
that, notwithstanding anything in the Original Agreement to the contrary:
a. Seller shall record a release of the Povlitski Parcel from the
Development Restriction on or before the Povlitski Parcel Closing Date;
b. Seller sball record with respect to the Povlitski Parcel, on or before
the Povlitski Parcel Closing Date, a Notice of Termination of Special Use Permit
in the form attached to this Amendment as Exhibit D;

c. Seller sball convey all of its interest in the Povlitski Parcel to
Bruggeman Properties, LLC and Bruggeman Properties, LLC sball pay, as the
Purchase Price payable with respect to the Povlitski Parcel, $124,000, subject to
adjustments and prorations with respect to the Povlitski Parcel for which the
Original Agreement provides. Notwithstanding the foregoing, Buyer and
Bruggeman Properties, LLC shall have have the opportunity to inspect the
Povlitski Parcel before closing on the purchase of the Povlitski Parcel, and neither
Buyer nor Bruggeman Properties, LLC shall have any obligation to purchase the
Povlitski Parcel if Buyer or Bruggeman Properties, LLC determine there has been
any material adverse change in the condition of the Povlitski Parcel after the date
of Buyer's inspections of the Povlitski Parcel under the Original Agreement.

4. Option to Terminate. If the closing of the sale and purchase of the
Povlitski Parcel has not occurred by December 31, 2006, either Seller, Buyer, or
Bruggeman Properties, LLC shall be entitled to terminate this Agreement with respect to
the Povlitski Parcel (provided that Seller shall have no right to terminate unless it has
complied with its obligations under the preceding Section 3) by delivering a written
notice of termination to the other, in which case neither party shall have any further
obligation or liability to the other with respect to the Povlitski Parcel under or in
connection with the Agreement

INTRODUCTION
This memo is provided as a status update for all the economic development activities related to
Andover Station North that the City staff have recently been engaged in.
DISCUSSION
The following is the update on activities:
Rudnicki Building - the contractor working on Mr. Rudnicki's building has begun to do the
interior finishing. Last week the glazing was done. The base course of the pavement was put
down in the parking area on Oct. 12th. The landscaping was also put in that week. They would
like to have the building finished off to move into their dance studio space as soon as possible. It
looks like they have a few more weeks to finish off everything to get a C.O., with occupancy
expected around Thanksgiving.
Bruggeman Homes - Their contractor fInished installing all utilities in the second phase and the
base course of the paving was put down the last week of October.
Funeral Home Proposal - They are preparing a commercial site plan submittal. Staff has
received the lot split drawings (wi boundary and topographic survey) and forwarded to the client.
The lot split will be on the November 14th Planning Commission agenda for review and
comment (see attached drawings). .
Day Care Proposal - The purchase agreement was prepared and mailed out to Tracy Sonterre for
signature. The lot split drawings have been received and will be on the November 14th Planning
Commission agenda for review and comment (see attached drawings).
NBI OffICe Development - The fmal version of the purchase agreement was prepared and sent
out for signature. The lot split drawings have been received and will be on the November 14th
Planning Commission agenda for review and comment (see attached drawings).

Town Center Companies - Due Diligence Progress Review - The marketing staff at Northstar
Partners have indicated that 456 brochures have been sent out to brokers, and follow up calls will
begin shortly.
MVP Baseball (John Larkin) has been working on preparing a proposal for the sports training
facility on the site located east of the ball fields. He met with staff to go over a very preliminary
site plan and is working closely with Vanguard Construction to prepare an architectural design
that he feels the EDA may approve (with high quality design and materials, etc.). . The Andover
Station North design standards will need to be changed to allow what they are considering. They
need to use tip up panel construction for the high ceilings that they are planning. They are
looking at building approximately a 52,000 square foot structure in the spring of 2007.
EP A Clearance of Institutional Controls - The City Attorney has been working with the
Attorney General's Office to get all the proper legal descriptions in the documents. We have
been asking if this can all be done by the end of the year, and the parties involved have indicated
it is possible. We need this done to close on the land with Bruggeman (e.g. Povlitzki exchange
parcel), as that was holding up the closing on the 1.5 acre parcel we have been holding onto until
this paperwork was completed.
Ballfield Completion - The sodding of all 1:hIee ballfields is now completed. The irrigation
system was fully operational before freeze up and the ballfields will be ready for use in the
spring-summer of 2007.
Attracting a Restaurant - The staff has completed a mailing that went out to over 1,200
different restaurant operators in the Twin Cities. We hope this "cold call" solicitation will
generate some interest in the sites in Andover Station.
