We respectfully request that the City of Andover favorably consider our proposal, as
hereinafter set forth, to purchase and re-develop approximately 76 acres of property
remaining for development (the "Property") in the re-development tract commonly
known as Andover Station (the "Total Development Tract"). We understand that another
developer owns or otherwise has site control of approximately 14 acres within the Total
Development Tract.
Our proposal is based upon our understanding that the City is perfonning the following
work at its cost:
1. Demolition and removal to grade of any existing buildings, structures, and non-
natural obstructions within the Total Development Tract, including the removal of
debris resulting therefrom, and the remediation of contaminated soil.
2, The filling, rough grading, and leveling of the land (exclusive of landscaping)
necessary to make it ready for construction of improvements,
3, Construction of all public streets and roadways within the Total Development
Tract, including curbs and gutters.
4, All contaminated soil will be removed and disposed of in compliance with
applicable state and federal environmental laws and regulations.

5. Installation and/or relocation of sanitary and storm sewers, drains, water and gas
distribution lines, electric and telephone lines within the Total Development Tract
and stubbed to the building sites..
6. Completion of any rezoning as may be necessary within the Total Development
Tract, with respect to uses contemplated in the redevelopment plan, and facilitate
the dedication of new streets and other public rights-of-way within the Total
Development Tract as necessary to carry out the redevelopment plan.
Based upon the foregoing, Asset Realty Advisors or an affiliate entity to be formed
expressly for the execution of the subject development (the "Developer"), would provide
the following development services subject, however, to the general direction and control
of the City with respect to use selection and architectural design/concepts:
I. Preparation of a master site plan for the Property, acceptable to the Andover
Review Committee, setting forth the proper relationship of office, commercial,
retail, and residential (if any), parcels in accordance with the use and design
concepts acceptable to the City, including road networks and utility systems.
2. Arrange for and supervise the engineering and architectural work necessary to
execute the master site plan,
3, Purchase the Property from the City on a phased basis in accordance with a
development schedule to be mutually agreed upon between the City and
Developer, for a purchase price of $ per square foot.
4. With respect to each parcel conveyed to the Developer pursuant to the above
referenced development schedule, the Developer will arrange for the construction
of the improvements representing the pre-approved permitted uses thereon in
accordance with the master site plan.
5. Negotiate, coordinate and supervise the sale or lease of the building sites to end
users in accordance with the permitted uses,

Arrange for the preparation, drafting, execution and recording of any and all
private access and interior roadway easements, cross parking easements, and
covenants with respect to the maintenance thereof and the maintenance of

landscaping throughout the Total Development Tract, as deemed necessary and
appropriate to carry out the redevelopment plan.
7. Maintain a continuous dialogue with the Andover Review Committee throughout
the entire development process.
If the foregoing is acceptable to the City, we would be happy to prepare a first draft of a
Development Agreement for your review and consideration.

Dear Mr. Carlberg:
This letter confirms our interest in purchasing approximately an eight acre parcel of
property in the northwest comer of the development tract presently referred to as Bunker
Hills Commercial Development I Community Park.

As we have indicated to you, our client, Fleming Companies, Inc., is interested in this
location for a Rainbow Supermarket. Accordingly, our intention would be to build-out
that facility, together with an attached strip center of approximately 14,400 square feet
for complimentary retail and service uses on the subject parcel. We would also reserve
several pad sites for future development of retail/service uses acceptable to the City, and
consistent with the overall development concept for the Park.
Enclosed for your information and use, is a preliminary site plan with respect to our
intended use.
We would appreciate your assistance in directing this proposal to the EDA for
consideration. If our proposed use is acceptable, we will thereupon submit an immediate
purchase offer.

The Economic Development Authority is requested to discuss and establish a per square
foot land sale price for the Andover Station. Staff has been contacting area appraisers
and real estate brokers to determine the market value of this area. Attached is a listing of
commercial site comparables for the "Anoka Area" as prepared by Wayne L. Johnson,
Wayne L. Johnson & Associates dated September 18,1998 for EDA review and
discussion.
Staff is continuing to research this item and will present any additional findings or
information at the meeting.
