(Respectfully submitted, Michelle Hartner Deputy City Clerk Attach: Minutes O 1 2 3 4 5 6 REGULAR ANDOVER CITY COUNCIL MEETING —FEBRUARY 17, 2015 7 MINUTES 8 9 10 The Regular Bi- Monthly Meeting of the Andover City Council was called to order by Mayor Julie 11 Trude, February 17, 2015, 7:00 p.m., at the Andover City Hall, 1685 Crosstown Boulevard NW, 12 Andover, Minnesota. 13 14 Councilmembers present: Mike Knight, Sheri Bukkila, and James Goodrich 15 Councilmember absent: Valerie Holthus ; 16 Also present: City Administrator, Jim Dickinson 17 Community Development Director, Dave Carlberg 18 Director of Public Works /City Engineer, David Berkowitz 19 Others 20 21 22 PLEDGE OFALLEGIANCE 23 24 SPECIAL PRESENTATION— INTRODUCTIONOFANOKA COUNTYSHERIFFDEPUTIES 25 - 26 Sheriff James Stuart thanked the City Council and the City of Andover for the opportunity to serve 27 the Community.: He updated "the Council on 2014 activities the Sheriff's Department was involved 28 in. 29 30 Chief Deputy Tom Wells introduced the Anoka County Sheriff Deputies that will be serving 31 Andover for 2015. 32 33 Mayor Trude thanked "the Sheriff s+ Department for serving the City of Andover. 34 35 Councilmember Goodrich thanked the Deputies for their service to the community and has heard 36 many good things about them. 37 38 Councilmember Knight commented on the great relationship with Anoka County Sheriff's 39 Office. 40 41 RESIDENT FORUM 42 43 Mr. Dan Anderson, Crooked Lake Area Association, 13445 Heather Street, thanked the Council for 44 their support on helping the lake remain functioning. He explained what the mission of the Crooked 45 Lake Area Association is. 46 Regular Andover City Council Meeting Minutes — February 17, 2015 Page 2 1 Mr. Anderson stated the Association has taken on the responsibility of tackling the invasive weed 2 problems for Crooked Lake. He noted one of the main issues is the cost of treating the lake and the 3 cities of Andover and Coon Rapids have helped out with those costs. He noted the cleanup has been 4 very successful after two years of consecutive treatment. 5 6 Mr. Anderson stated in order to get the DNR's permission for treatment the Association needed to 7 have a Comprehensive Lake Management Plan. He stated they have put together a plan and the 8 DNR is now willing to work with the Association and use this lake as a pilot lake to see how the 9 treatment works. 10 11 Mr. Anderson updated the Council on the progress of cleaning up the lake in 2014. 12 13 Councilmember Goodrich wondered if the Association is seeing any of the narrow leaf cattails on the 14 lake. Mr. Anderson stated he was not sure but they have seen the curly leaf pond weed and the 15 Eurasian water milfoil. As part of the plan they have to do different plant surveys of the lake. 16 17 Mayor Trude noted the narrow leaf cattail is not yet listed as an invasive species so the Association 18 may not be treating for that yet. She stated the DNR needs to add that to their list before it can be 19 classified as invasive. 20 21 Mr. Anderson stated both the cities of Andover and Coon Rapids are working on a "No Wake" 22 Ordinance but has not been passed yet. This will help to slow down erosion on the lake shore if the 23 water levels become high again like this past year. 24 25 Mayor Trude thanked Mr. Anderson for his presentation and noted she liked the newsletter. 26 27 AGENDA APPROVAL 28 29 Staff submitted a title correction on the consent agenda and additional information for the Sheriff's 30 monthly report. 31 32 Motion by Bukkila, Seconded by Knight, to approve the Agenda as amended above. Motion carried 33 unanimously. 34 35 APPROVAL OFMINUTES 36 37 February 3, 2015, Regular Meeting: Correct as amended. 38 39 Councilmember Goodrich requested a correction on page eight, lines 14 -15, he asked Fire Chief 40 Streich a question that with the additional staff person would they be able to take additional calls and 41 Chief Streich answered in the affirmative. 42 43 Mayor Trude stated on page eight, lines 7 -8, after the word "uncomfortable" she would like a period Regular Andover City Council Meeting Minutes —February 17, 2015 Page 3 1 added and remove the rest of the sentence. 2 3 Motion by Knight, Seconded by Goodrich, to approve the minutes as indicated above. Motion carried 21 unanimously. 22 23 ANOKA COUNTYSHERIFF'S OFFICE MONTHLYREPORT 24 25 Sergeant Bluml presented the January 2015 Anoka County Sheriff's Department Monthly Report 26 to the City Council. 27 28 Sergeant Bluml stated the Polar Plunge is scheduled for February 28, 2015 at Crooked Lake. She 29 noted residents can pledge at www.Plungemn.org which will help the Special Olympics of 30 Minnesota. 31 32 HOLD PUBLICHEARING /ORDER PLANS & SPECIFICATIONS /15- 141THEMEADOWS OF 33 ROUND LAKE OVERLAY 34 35 Mr. Berkowitz explained the City Council is requested to hold a public hearing and order plans and 36 specifications for project 15 -14, The Meadows of Round Lake Overlay. 37 38 Mr. Berkowitz reviewed the information with the Council. 39 40 Motion by Knight, Seconded by Goodrich, to open the public hearing at 7:53 p.m. Motion carried 41 unanimously. 42 43 Ms. Pat LaBelle, 3858 143 `d Avenue stated she had questions on the project as a whole and also Regular Andover City Council Meeting Minutes — February 17, 2015 Page 4 1 about the assessments but she believed they were all answered in the presentation by staff. 2 3 Motion by Goodrich, Seconded by Bukkila, to close the public hearing at 7:54 p.m. Motion carried 4 unanimously. 5 6 Motion by Bukkila, Seconded by Knight, to approve the resolution R016 -15, ordering plans and 7 specifications for project 15 -14, The Meadows of Round Lake Overlay. Motion carried 8 unanimously. 9 10 CONSIDER PLANNED UNIT DEVELOPMENTAMENDMENT—COUNTRY OAKS WEST- 11 LAMB PROPERTIES, LLC 12 13 Mr. Carlberg stated the City Council is asked to review the revised Planned Unit Development 14 (PUD) Standards for Country Oaks West, Block 1, Lots 12 -23 as requested by LAMB Properties, 15 LLC. 16 17 Mr. Carlberg reviewed the staff report with the Council. 18 19 Mr. Carlberg noted there will be sixty -five White Pine trees planted by the railroad tracks for a 20 buffer. He stated the Planning Commission requested something else be done with the 21 landscaping plan. Since that Planning and Zoning meeting the developer has come back and 22 stated they will continue with the original landscaping plan shown but want to work with staff to 23 do additional landscaping. 24 25 Mayor Trude stated in the resolution could staff state that the plantings must be similar as the 26 originally approved plan so staff can review the landscaping. Mr. Carlberg stated at a minimum 27 there will be landscape plantings indicated in the plans presented. 28 29 Mayor Trude thought there was a question raised whether the current townhome's landscaping 30 even met the requirements because they looked really sparse. Mr. Carlberg indicated there are 31 some plantings missing with some of them. He thought this was something the association could 32 work on and these proposed units will be added to the association and will help them take care 33 some of the maintenance issues. 34 35 Mayor Trude stated the photographs do not line up with the architectural drawings that are 36 attached. She wondered if those had been withdrawn. Mr. Carlberg indicated the developer 37 submitted concept plans for Council review so there will probably be some variations to the floor 38 plans and units. These were the best plans they had at this time and as this is going forward staff 39 will make sure the developer has the best floor plans that are acceptable. The developer does not 40 have a final builder at this point. 41 42 Mayor Trude stated this made her nervous because they have never approved a PUD without 43 knowing exactly what the homes will look like. She felt the resolution probably addressed this but wanted to make sure it is in the record. Mr. Carlberg indicated condition two in the resolution states the general conformance with the photos before the Council and approved is what is expected the units to look like and if there are drastic variations to that staff would have the developer go through a public process again. Mayor Trude indicated they have never done a project like this and whatever is built in the City they want to make sure they endure over time. Councilmember Knight asked what will be the buffer for the back of the homes. Mr. Carlberg indicated there is a sixty -five foot rear yard setback requirement that was approved with the original PUD and then there is the railroad right -of -way and with the landscape plan there will be additional plantings along the backs of the 8 -10 foot White Pines as a buffer. The developer did indicate they might also look at some type of fence. Councilmember Bukkila stated in 2005, what was approved was the twin homes so what is before them is to change that to single detached townhomes and if they were not to approve the change, what would happen. Mr. Carlberg stated the developer would then be required to build the attached twin units as originally approved. Councilmember Bukkila asked staff to review what a PUD does and what is required with a PUD. Mr. Carlberg reviewed the PUD standards with the Council. Councilmember Bukkila indicated she is hesitant to introduce something she would consider Minneapolis row housing. As far as the pictures she sees and the properties that exist, there seems to be a vast difference and the likelihood they are going to end up with something the same and not what is pictured is very concerning and she did not like the five foot setback, in particular if two two -story homes are built side by side. Mayor Trude stated the Council can approve or not approve specific plans or ask the applicant to come back with more information on who the builder will be. Mr. Carlberg thought these homes will be similar to the single family homes across the street. The price point discussed at the Planning and Zoning Commission meeting was $250,000. The four lots across the street have sold in the $220,000 range. He thought they would be getting a product that is marketable and fits into the area. Mayor Trude stated she found a couple of the proposed models unattractive. Councilmember Bukkila agreed. The Council reviewed the photos of the proposed models. Mr. Carlberg noted if there is a product the Council does not like, they could remove it. Regular Andover City Council Meeting Minutes —February 17, 2015 Page 6 1 Councilmember Bukkila indicated she is looking for something that would consistently fit into 2 the surrounding neighborhood and the row house style is not something that would ft. She 3 stated something she does like is the full brick around the entire garage, shakes and siding 4 mixture along with masonry in the front yard and the patio style. Those things are a lot different 5 than what is existing. Mayor Trude thought they may need more detail on the plans before 6 approval. 7 8 Councilmember Goodrich asked if reducing the setback from ten to five feet made it more 9 difficult for the landscaping. He wondered why there was a change. Mr. Carlberg stated the 10 landscaping should not be an issue, there might be less landscaping between the buildings but the 11 front should still have adequate space for landscaping. He stated there is twenty feet right now 12 between the structures with zero lot lines for the twin homes and if separated they need at least 13 five feet between the lots to get the same building pad which is forty feet wide. 14 15 Mayor Trude thought there was demand for this type of product but she is a little concerned 16 about mixing up the two -story and one -story buildings. She thought this was an undesirable area 17 to live in generally so they have to find a certain type of customer. She thought there was a 18 demand for association maintained homes. She thought they needed to see more information on 19 what is being built. 20 21 Mr. Jondahl, representing LAMB Properties was at the meeting to answer questions. 22 23 The Council continued to discuss the proposed homes with staff. 24 25 Mr. Jondahl stated they are trying to create an association maintained single family looking 26 neighborhood so they can capture the home sales and make this development work. He 27 presented a concept of the type of homes they want to build and it is a matter of taking the time 28 and effort to put together homes that will fit. They need the five foot setback to make the homes 29 work out and fit. 30 31 Mayor Trude asked if they are planning on selling the lots and then have different builders. Mr. 32 Jondahl stated they have one particular builder in mind, Next Level Homes is one that will likely 33 be designing and building the homes but he did not think the developer wanted to be committed 34 to the one builder in case it does not work out but they will be committed to the design. Next 35 Level Homes is ready to start building once approved. 36 37 Mayor Trude stated she is not ready to approve all of the six plans. Mr. Jondahl stated they have 38 brought forward concepts of the two story and the rambler look and they would like to work 39 through the details with staff. Councilmember Bukkila indicated she did not want to leave this 40 up to staff and would like to see the plans herself. She stated she likes what she sees in the plans 41 but wants more of a commitment that what they have been shown is what is going to be built. 42 43 Mayor Trude thought the issue was they were trying to put two different townhome designs Regular Andover City Council Meeting Minutes —February 17, 2015 Page 7 1 together and they do not fit well. She thought maybe the developer could distinguish a few lots 2 as two story lots which might help. 3 4 Mr. Jondahl stated they are going to put up a product that has great curb appeal and needs to have 5 the new look, the Craftsman Style. The two -story will give the development a great buffer 6 between the railroad tracks and the existing neighborhood. 7 8 Mayor Trude stated she is supportive of the concept but not supportive of giving them cart- 9 blanche to build whatever they want to build. She would like to table this and have the developer 10 come back with further design information for review. She indicated she is supportive of the 11 narrow lots. Councilmember Bukkila stated she would be fine with the lot size as long as the 12 developer can show her the architectural detail and show them the design will fit because right 13 now it does not fit. 14 15 Councilmember Goodrich indicated he would like to have some control on what this is going to 16 look like. Councilmember Knight stated the development as proposed is undesirable in his 17 opinion and improvements need to be made. 18 19 Mr. Dickinson reviewed the concept items the Council liked and did not like and indicated this to 20 the developer. Councilmember Bukkila thought the developer was on the right path but thought 21 it needed to come back for further review and approval. 22 23 The Council reviewed with the developer that build plan changes need to be made and brought 24 back for further review. 25 26 Mayor Trude stated she wants the neighborhood to look like it all fits together. Mr. Jondahl 27 stated they are trying to compliment the single family neighborhood and make it all come 28 together. 29 30 Motion by Bukkila, Seconded by Goodrich, to table this item to the March 3, 2015 City Council 31 meeting. Motion carried unanimously. 32 33 SCHEDULE MARCH EDA MEETING 34 35 Mr. Dickinson requested the Council schedule a March EDA Meeting. 36 37 The Council discussed the draft agenda. 38 39 Motion by Bukkila, Seconded by Knight, to schedule an EDA Meeting on March 17, 2015, at 40 6:00 p.m. Motion carried unanimously. 41 42 Regular Andover City Council Meeting Minutes —February 17, 2015 Page 8 1 ADMINISTRATOR'S REPORT 2 3 City Staff updated the Council on the administration and city department activities, legislative 4 updates, updates on development/CIP projects, and meeting reminders /community events. 5 6 MAYOR/COUNCIL INPUT 7 8 (State of the Cities Presentation) Mayor Trude stated she attended the State of the Cities 9 meeting at Greenhaven Golf Course and she thought the State of Cities looked excellent. All of 10 the cities are back in full development mode and thought there was beginning to be a shortage of 11 business space in Andover and other communities. 12 13 (Mayor's Prayer Breakfast) Mayor Trude stated on March 13`h is the Mayor's Prayer Breakfast 14 at Greenhaven Golf Course. 15 16 RECESS 17 18 Mayor Trude recessed the regular City Council meeting at 8:53 p.m. to a closed session of the 19 City Council to discuss Open Space Land Purchase Negotiations Update — PID 11- 32- 24 -24- 20 0001. 21 22 RECONVENE 23 24 The City Council reconvened at 9:17 p.m. 25 26 ADJOURNMENT 27 28 Motion by Goodrich, Seconded by Bukkila, to adjourn. DISCUSSION Identified in the City's 2015 -2019 Capital Improvement Plan is an overlay for the collector route through The Meadows of Round Lake (see attached location map) from 300' east of Guarani Street to Xenia Street. The project will include milling the existing roadway from curb to curb, minor curb and gutter replacement, possible rehab of deteriorating curb and gutter joints, and paving 1.5" of bituminous over the existing roadway. It is anticipated that this project will extend the life of the streets in this area 15+ years before a full reconstruction would be considered. The estimated assessment per unit is $1,010.00 which includes the concrete curb patching. The public hearing was held at the February 17, 2015 City Council meeting. Plans and Specifications are available in the City Engineer's office for review. BUDGET IMPACT The project will be funded from the City's Road & Bridge Fund (reimbursed through Municipal State Aid Funds), with 25% of the total project costs for the improvements (based upon a standard width overlay) assessed to the benefiting properties as identified in the City's Roadway Reconstruction Assessment Policy. ACTION REQUIRED The City Council is requested to approve the resolution approving final plans and specifications and ordering the advertisement for bids for Project 15 -14, The Meadows of Round Lake Overlay. PARTIES. This Purchase Agreement (this "Agreement ") is made on M" 3 , 2015, by and between DTI Enterprise, LLC ( "Seller "), a Minnesota limited liability company, having addresses for notices of 16563 Hanson Blvd. NW, Andover, MN 55304, and City of Andover ( "Buyer "), a Minnesota municipal corporation having an address for notices of 1685 Crosstown Boulevard, N.W., Andover, MN 55304. 2. OFFER/ACCEPTANCE. Subject to the terms and conditions of this Agreement, Buyer agrees to purchase and Seller agrees to sell land located in the City of Andover, County of Anoka, State of Minnesota, legally described on the attached Exhibit A and depicted on the attached Exhibit B which consists of approximately fourteen (14) acres (the "Property "). 3. PRICE AND TERMS. The purchase price for the Property (the "Purchase Price ") shall be One Hundred Forty -Seven Thousand and 00/100 Dollars ($147,000.00), which Buyer shall pay as follows: Earnest money of Five Thousand and no /100 Dollars ($5,000.00) by check, receipt of which is hereby acknowledged, and One Hundred Forty Two Thousand and no /100 Dollars ($142,000.00) in cash or other immediately available funds on the "Closing Date" (defined below). 4. CONTINGENCIES TO BUYER'S OBLIGATION TO PURCHASE THE PROPERTY. Not later than five (5) days after this Agreement has been executed and delivered by both Seller and Buyer, Seller shall make available to Buyer and its attorneys and agents, all reports, studies, tests, surveys and other documents relating to the Property that are in Seller's possession or control. Buyer's obligation to purchase the Property is contingent upon satisfaction, or waiver by Buyer, of each of the following conditions. If Buyer so notifies Seller that any such contingency to Buyer's obligation to purchase the Property has not been satisfied, the earnest money paid herein shall be refunded to Buyer and neither Seller nor Buyer shall have any further rights or obligations under this Agreement except for obligations (the "Surviving Obligations ") which expressly survive the termination of this Agreement or the Closing. (a) Buyer shall be completely satisfied, in Buyer's sole discretion, with the enviromnental and soil conditions of the Property. Seller hereby authorizes Buyer, at Buyer's sole risk, to enter the Property during the period (the "Inspection Period ") commencing on the date of this Agreement and ending at the end of March 31, 2015, to conduct investigations and testing of the Property. Buyer shall indemnify and hold Seller harmless from all loss, cost, damage and expense (including court costs and reasonable attorney's fees) that Seller may suffer or incur as a result of Buyer's entry onto and investigation and testing of the Property, and Buyer's obligation under this sentence shall be a Surviving Obligation. (b) Buyer shall have determined that roads, easements, driveways, utilities, points of access and other infrastructure serving the Property will be adequate for Buyer's purposes, as detennined by Buyer in Buyer's sole discretion. (c) Buyer shall have obtained all watershed, environmental and other governmental approvals and permits (excluding any such approvals and permits as Buyer itself may grant) that Buyer shall deem necessary to use the Property in the manner contemplated by Buyer. (d) Buyer shall be satisfied with the matters disclosed by any survey of the Property obtained by Buyer at Buyer's expense. (e) The representations and warranties made by Seller in Section 9 shall be correct as of the Closing Date with the same force and effect as if such representations were made at such time. 5. CLOSING. Except as otherwise expressly provided in this Agreement, the closing of the sale and purchase contemplated by this Agreement (the "Closing ") shall occur on March 31, 2015 or such earlier date as shall be mutually acceptable to Seller and Buyer (the "Closing Date "). The Closing shall occur at 10:00 a.m., or such other time as shall be mutually acceptable to Seller and Buyer, at such location as shall be mutually acceptable to Seller and Buyer. At the Closing, and subject to performance by Buyer, Seller shall execute in recordable form and deliver a Warranty Deed (the "Deed ") to the Property, conveying marketable title to the Property subject only to the "Permitted Exceptions" (defined below), and shall execute and deliver such other and further documents as reasonably shall be required to consummate the transaction contemplated by this Agreement. The Deed shall either be accompanied by a well disclosure certificate prepared and signed on behalf of Seller and filed at Seller's cost, or shall include the following statement: "I am familiar with the property described in this instrument and I certify that the status and number of wells on the described real property have not changed since the last previously filed well disclosure certificate." At the Closing, and subject to performance by Seller, Buyer shall pay the Purchase Price in cash or other immediately available funds, and shall execute and deliver such documents as reasonably shall be required to consummate the transaction contemplated by this Agreement. At the Closing, Buyer shall pay the state deed tax and any conservation fee on the Deed, and the cost to record any instrument needed to correct title. Buyer shall pay the cost to record the Deed. Buyer shall pay any closing fee charged by the title insurance agency or other company closing the transaction contemplated by this Agreement. For purposes of this Agreement, "Permitted Exceptions" include: A. Building and zoning laws, ordinances, state and federal regulations; B. Reservation of any mineral rights by the State of Minnesota; C. Utility and drainage easements which do not interfere with Buyer's intended use of the Property; 2 D. Public roads upon and County ditches across the Land; and E. Any other matter disclosed by the Title Commitment and not timely and effectively objected to by Buyer. 6. REAL ESTATE TAXES AND SPECIAL ASSESSMENTS. Real estate taxes due and payable in and for the year of Closing shall be prorated between Seller and Buyer on a calendar year basis to the actual Closing Date. Seller shall pay on the Closing Date all special assessments levied against or pending for the Property as of the Closing Date. Buyer shall pay real estate taxes due and payable in the year following Closing and thereafter, and any special assessments levied and payable after the Closing Date. Seller makes no representation concerning the amount of future real estate taxes or of future special assessments. 7. CONDITION OF PROPERTY. Seller shall remove from the Land before the completion of the Closing all debris and personal property not included in the purchase of the Property. 8. BROKERAGE. Buyer and Seller represent that neither party is represented by a real estate agent or broker and no brokerage commissions are due any third parties as a result of this transaction. 9. 'REPRESENTATIONS AND WARRANTIES OF SELLER. Seller represents and warrants to and covenants with Buyer that: (a) Seller is the owner of fee simple title to the Land; Seller has the power and authority to enter into and perform the terns and conditions of this Agreement, and such performance will not conflict with or result in a breach of any of the terms, conditions or provisions of any agreement or instrument to which Seller is a party or by which it is bound, or constitute a default under any of the foregoing; and this Agreement is valid, binding and enforceable against Seller in accordance with its terms. (b) Seller has not received any notice of, and Seller is not aware of, any violation of any law, municipal ordinance or other governmental requirement affecting the Property, including without limitation any notice of any fire, health, safety, building, pollution, environmental or zoning violation, but specifically excluding any such ordinance of Buyer, as to which Buyer has knowledge at least equal to that of Seller. (c) Seller has not received any written notice of any condemnation or eminent domain proceedings, or negotiations for purchase in lieu of condemnation, relating to the Property, or any portion thereof; and Seller has no actual knowledge that any condemnation or eminent domain proceedings have been commenced or threatened in connection with the Property or any portion thereof. (d) (1) To Seller's knowledge, the Property (A) is not subject to any private or govermnental lien or judicial or administrative notice, order or action relating to Hazardous Substances or environmental problems, impainnents or liabilities with respect to the Property, and (B) to Seller's knowledge, neither Seller nor the Property is in, or 3 with any applicable notice and /or lapse of time, and /or failure to take certain curative or remedial actions, will be in, violation of any Environmental Laws (as herein defined). (2) Seller shall not, prior to Closing, cause or acquiesce in any Hazardous Substances to exist or be stored, generated, used, located, discharged, released, possessed, managed, processed or otherwise handled on the Property in violation of any Environmental Laws, and shall comply with all Environmental Laws affecting the Property. (3) Seller shall promptly notify Buyer should Seller become aware of (A) any environmental problem or liability with respect to the Property, (B) any lien, order, action or notice of the nature described in subparagraph (1) above, or (C) any litigation or threat of litigation relating to any alleged unauthorized release, discharge, generation, use, storage or processing of any Hazardous Substance or the existence of any Hazardous Substance or other environmental contamination, liability or problem with respect to or arising out of or in connection with the Property. As used herein, "Hazardous Substances" means any matter giving rise to liability under the Resource Conservation and Recovery Act, 42 U.S.C. Section 6901 et sea., the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. Sections 9601 et sea. (including the so- called "Superfund" amendments thereto), or other applicable federal, state or local statute, law, ordinance, rule or regulation governing or pertaining to any hazardous substances, hazardous wastes, chemicals or other materials, including without limitation asbestos, polychlorinated biphenyls, radon, petroleum and any derivative thereof, or any common law theory based on nuisance or strict liability (all of the foregoing statutes, laws, ordinances, rules, regulations and common law theories are sometimes collectively referred to as "Environmental Laws "). (e) No litigation or proceedings are pending or, to Seller's knowledge, contemplated, threatened or anticipated, relating to the Property or any portion thereof. (f) Seller has no knowledge of any unrecorded agreements, undertakings or restrictions which affect the Property. There are no other tenants, persons or entities occupying any portion of the Property, and to Seller's knowledge no claim exists against any portion of the Property by reason of adverse possession or prescription. (g) To Seller's knowledge (i) there is no obligation with respect to the Property for any assessment, annexation fee, payment, donation or the like (other than general real estate taxes, which are required to be paid by the Buyer); (ii) there are no obligations in connection with the Property of any so- called "recapture agreement" involving refund for sewer extension, oversizing utility, lighting or like expense or charge for work or services done upon or relating to the Property or otherwise; and (iii) there is no unexecuted paving agreement or undertaking with any government agency respecting construction of any acceleration or de- acceleration lane, access, or street lighting. If, prior to the Closing Date, Seller obtains knowledge of a fact or circumstance the existence of which would constitute a breach by Seller of its representations and warranties hereunder or would render any such representations and warranties materially untrue or incorrect, Seller shall 11 promptly notify Buyer in writing of the same. Under said circumstances, and in addition to any other right or remedy that may be available to Buyer, Buyer, at its option, may terminate this Agreement by notice to Seller prior to completion of the Closing. If Buyer timely gives such notice, Buyer shall be entitled to a return of all Earnest money paid and neither Seller nor Buyer shall have any further rights or obligations under this Agreement except for the Surviving Obligations. All representations, warranties, covenants, indemnities and undertakings made herein shall be deemed remade as of the Closing Date, shall be true and correct as of the Closing Date, shall be deemed to be material and to have been relied upon by Buyer notwithstanding any investigation or other act of Buyer heretofore or hereafter made, and shall survive for a period of twelve (12) months after the Closing Date. 10. POSSESSION. Seller shall deliver possession of the Property not later than the completion of the Closing. 11. EXAMINATION OF TITLE. Title examination will be conducted as follows: A. Seller's Title Evidence. Seller shall furnish to Buyer a commitment (the "Title Commitment ") for an ALTA Form B Owner's Policy of Title Insurance, certified to date to include proper searches covering bankruptcies, State and Federal judgments and liens, issued by a title insurance company acceptable to Buyer in its reasonable judgment, committing the title insurer to insure Buyer's title to the Property deleting standard exceptions and including affinnative insurance regarding zoning, contiguity, appurtenant easements and such other matters as may be identified by Buyer, with policy limits in the amount of the Purchase Price. B. Buyer's Objections. Buyer shall be allowed thirty (30) business days after receipt of the Title Commitment for examination of title and making any objections, which shall be made in writing or deemed waived. 12. TITLE CORRECTIONS AND REMEDIES. Within five (5) business days after its receipt of Buyer's written title objections, Seller shall notify Buyer of Seller's intention as to making the title marketable. Liens or encumbrances for liquidated amounts which can be released by payment or escrow from proceeds of Closing shall not delay the Closing and need not be timely objected to by Buyer. Cure of the defects by Seller shall be reasonable, diligent, and prompt. Pending correction of title, all payments required herein and the Closing shall be postponed. A. If notice is given and Seller makes title marketable within thirty (30) days after Seller's receipt of Buyer's title objections, then upon presentation to Buyer of documentation establishing that title has been made marketable, and if not objected to in the same time and manner as the original title objections, the Closing shall take place within ten (10) business days or on the scheduled Closing Date, whichever is later. 5 B. If title is marketable, or is made marketable as provided herein, and Buyer defaults in any of the agreements herein, Seller may cancel this Agreement, or may sue Buyer for specific performance or for damages for breach of this Agreement and its costs and reasonable attorneys' fees provided such action is commenced not later than six (6) months after such cause of action arose. C. If title is marketable, or is made marketable as provided herein, and Seller defaults in any of the agreements herein, Buyer may cancel this Agreement, or may sue Seller for specific performance or for damages for breach of this Agreement and its costs and reasonable attorneys' fees provided such action is commenced not later than six (6) months after such cause of action arose. TIME IS OF THE ESSENCE FOR ALL PROVISIONS OF THIS CONTRACT. 13. NOTICES. All communications, demands, notices or objections permitted or required to be given or served under this Agreement shall be in writing and, except as otherwise expressly provided in this Agreement, shall be deemed to have been duly given or served on the earliest to occur of: when delivered in person to the other party or its duly authorized agent; or one (1) business day after delivery to a same -day or overnight prepaid courier service; or two (2) business days after deposit with the United States Postal Service, postage prepaid, certified or registered snail, return receipt requested, in each case addressed to the other party at the address set forth at the beginning of this Agreement. Either party may change its address by giving at least ten (10) days' notice of such change to the other party. 14. MINNESOTA LAW. This contract shall be governed by the laws of the State of Minnesota. 15. SELLER'S DISCLOSURES. Seller certifies that there is not an existing individual sewage treatment system on and serving the Property Seller certifies that there is not an existing well serving the Property. Buyer hereby acknowledges that the sale and purchase contemplated by this Agreement is exempt from the disclosure requirements of Minnesota Statutes Sections 513.52 to 513.60. The Quad Cities Cable Communications Commission ( "QCCCC ") has reviewed the legal, technical, and financial qualifications of GreatLand Connections, Inc. and recommends approval of the transfer of ownership. The City of Andover is a member of the QCCCC joint powers organization, and the franchise transfer to GreatLand requires the approval of QCCCC's member cities. Background Comcast and Time Warner seek to merge. To address expected anti -trust concerns, Comcast will divest systems serving approximately 4 million customers nationwide to reduce the merged company's footprint to 30% or less of US video subscribers. Comcast entered an agreement with Charter Communications to accomplish the divestitures. Under the agreement, Comcast will sell some systems to Charter, swap systems to consolidate operations in certain geographic areas, and spin -off approximately 2.5 million subscribers /systems, including Comcast's systems in Minnesota serving more than 550,000 customers, to a newly formed, publicly- traded company, GreatLand. Comcast will not own GreatLand but its shareholders will receive 66% ownership. Charter will hold the remaining 33 %. Charter will also directly or indirectly control appointment of 6 of 9 seats on GreatLand's board and Charter's CEO, Tom Rutledge, will be the chair. Charter will provide "customer- facing" services for GreatLand under the terms of a yet -to- be finalized agreement. This includes customer service, billing, marketing, technician deployment, and network engineering and IT services. GreatLand will deliver Charter's "Spectrum" branded services and video programming packages. By law, transfer to GreatLand requires the approval of QCCCC's member cities. Applicable law allows 120 days for review and action, but the deadline has been extended several times by the companies and is March 13, 2015. ...3 'A OVAP Community Television P 763.427.1411 www.qotv.org 12254 Ensign Ave. N Champlin, MN 55318 Consultants' Financial Report QCCCC participated in a financial review of GreatLand with other local franchise authorities. The consultants' report argues that divesture to GreatLand may result in increased operational costs, upward rate pressure, potentially reduced capital resources available for system needs and competition, and possible reductions in customer service quality. These conclusions are based largely on the fact that GreatLand (and Charter) will be encumbered with significant debt, and the fact that GreatLand is expected to pay more for video programming than Comcast. Programming is typically a cable operator's single largest expense. It is important to note that applicable law does not specify criteria for evaluation of financial qualifications of a cable transferee. The FCC Form 394 itself suggests that, at minimum, the transferee must demonstrate "sufficient net liquid assets on hand or available from committed resources" to consummate the transaction and operate for three (3) months. GreatLand will incur indebtedness to "pay for' the 2.5 million subscribers, systems and assets Comcast divests. GreatLand's debt amount is currently estimated at $7.8 billion. Transfer Consent Conditions and Settlement Agreement In conjunction with review of the transfer (divestiture) to GreatLand, QCCCC negotiated a settlement agreement and resolution granting conditional consent to the transfer. The terms can generally be divided into consideration or benefits, and conditions to address possible concerns about GreatLand. Most of the consideration /benefits are contained in the proposed settlement, while the resolution contains most of the conditions. Transfer Resolution. By adopting the resolution, the City of Andover would consent to transfer to Greatland with conditions including the following: • Approval does not waive rights regarding any future franchise renewal process or franchise compliance going forward, or retroactively for purposes of renewal. • Approval is not a representation that the Grantee is in continuing compliance with the franchise or applicable law. • GreatLand shall provide written notice of closing of the transactions within 10 days after closing, and thereafter GreatLand and the subsidiary franchise - holder will be bound by the franchise and applicable law. Community Television P 763.427.1411 www.gatv.org 12254 Ensign Ave. N Champlin, MN 55316 • GreatLand shall provide certificates of insurance evidencing coverage as required by the settlement agreement, and provide evidence of assignment or replacement of the $100,000 performance bond and $25,000 irrevocable and unconditional letter of credit required by the franchise within thirty (30) days after closing. • GreatLand shall provide a guarantee in a specified form ensuring that sufficient financial resources are made available to the franchise - holder to comply with the franchise and applicable law. GreatLand represents and assures adequate financial resources will be available. • GreatLand is required to comply with conditions or requirements imposed by federal agencies regarding the transactions, provided that enforcement must be at the federal level. • GreatLand shall provide a written guarantee in a specified form that subscriber rates and charges will not increase as a result of the costs of the transaction. • The member cities waive no rights to require franchise fee or PEG fee payments on present and future services delivered by GreatLand or its subsidiaries and affiliates via the cable system. If any conditions or requirements are not satisfied, the approval and consent to the transfer are denied and void. If any written representations made regarding the transfer are materially incomplete, untrue or inaccurate in any material respect, it shall be deemed a material breach of the franchise and applicable law, and subject to franchise remedies and law. Settlement Agreement. The following summarizes the deal points contained in the settlement which has been approved by the QCCCC: • The Franchise is extended through August 31, 2020, and are automatically further extended through December 31, 2024 unless the Grantee timely requests, in writing, renewal proceedings. • Grantee will continue PEG support of 2.5% of gross, plus increased support of $0.20 per subscriber /per month, and continuation of the annual grant (approx. $55,000 plus CPI inflator). �r Community Television P 783.427.1411 www.gctv.org 12254 Ensign Ave. N Champlin, MN 5531e • One PEG channel in HD and a second channel added in 12 months. The Grantee will reimburse the costs to review the transactions. Recommendation The benefits of an extended franchise, continuation of the current strong PEG funding formula coupled with a modest funding increase, and beneficial PEG channel terms coupled with the protections in the consent resolution present an attractive package of terms. QCCCC recommends city approval of the transfer of ownership based on the settlement and the conditions imposed by the consent resolution. NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF ANDOVER AS FOLLOWS: Section 1. The City's consent to and approval of the Transfer Application is hereby GRANTED in accordance with the Franchise, subject to the following conditions: 1.1 Neither the Franchise, nor any control thereof, nor the System, nor any part of the System located in any municipal public rights -of -way in the City or on municipal property, shall be assigned or transferred, in whole or in part, without filing a written application with the City and obtaining prior written approval of such transfer or assignment, but only to the extent required by applicable law and the Franchise. 1.2 The City's approval of the Transfer Application is made without prejudice to, or waiver of, its right to fully investigate and consider during any future franchise renewal process: (i) Grantee's financial, technical, and legal qualifications; (ii) Grantee's compliance with the Franchise Documents, except as set forth in the Franchise Settlement Agreement; and (iii) any other lawful, relevant considerations. 2 457161 RJV QU210 -5 1.3 The City's approval of the Transfer Application is made without prejudice to, or waiver of, any right of the City to consider or raise claims based on Grantee's defaults, any failure to provide reasonable service in light of the community's needs, or any failure to comply with the terms and conditions of the Franchise Documents, or with applicable law, except as set forth in the Franchise Settlement Agreement. 1.4 Subject to the Franchise Settlement Agreement, the City waives none of its rights with respect to the Grantee's compliance with the terms, conditions, requirements and obligations set forth in the Franchise Documents and in applicable law. The City's approval of the Transfer Application shall in no way be deemed a representation by the City that the Grantee is in compliance with all of its obligations under the Franchise Documents and applicable law. 1.5 GreatLand shall provide the Commission with written notification that the Proposed Transaction closed within ten (10) days after the closing. After closing, GreatLand and Grantee will be bound by all the commitments, duties, and obligations, present and continuing, embodied in the Franchise Documents and applicable law. The Proposed Transaction will have no effect on these obligations. 1.6 GreatLand shall provide the City with a certificate or certificates of insurance evidencing coverage as required by the Franchise Settlement Agreement and Franchise, and evidence of assigmment or replacement of the $100,000 perfon-nance bond required by the Franchise, and evidence of assignment or replacement of the $25,000 irrevocable and unconditional letter of credit required by the Franchise, all within thirty (30) days after consummation of the Proposed Transaction. 1.7 GreatLand shall provide an executed written certification in the form attached hereto within thirty (30) days after consummation of the Proposed Transaction, guarantying the full performance of the Grantee. 1.8 GreatLand will comply with any and all conditions or requirements applicable to GreatLand set forth in all approvals granted by federal agencies with respect to the Proposed Transaction and Transfer Application (including any conditions with respect to programming agreements), such conditions or requirements to be exclusively enforced at the federal level. 1.9 GreatLand shall provide a written guarantee in the form attached hereto within thirty (30) days of the effective date of this Resolution specifying that subscriber rates and charges in the City will not increase as a result of the costs of the Proposed Transaction. 1.10 After the Proposed Transaction is consummated, GreatLand and Grantee will continue to be responsible for all past acts and omissions, known and unknown, under the Franchise Documents and applicable law for all purposes, including (but not limited to) Franchise renewal to the same extent and in the same manner as before the Proposed Transaction, subject to the terms of the Franchise Settlement Agreement. 3 457161 Rry Quito -5 1.11 Nothing in this Resolution amends or alters the Franchise Documents or any requirements therein in any way, and all provisions of the Franchise Documents remain in full force and effect and are enforceable in accordance with their terms and with applicable law. 1.12 The Proposed Transaction shall not permit GreatLand and Grantee to take any position or exercise any right with respect to the Franchise Documents and the relationship thereby established with the City that could not have been exercised prior to the Proposed Transaction. 1.13 GreatLand assures that it will cause to be made available adequate financial resources to allow Grantee to meet its obligations under the Franchise Documents, including without limitation operational and customer service requirements. 1.14 The City is not waiving any rights it may have to require franchise fee or PEG fee payments on present and future services delivered by GreatLand or its subsidiaries and affiliates via the cable system. 1.15 Receipt of any required state and federal approvals and authorizations. 1.16 Actual closing of the Proposed Transaction. Section 2. If any of the conditions or requirements specified in this Resolution are not satisfied, the City's consent to, and approval of, the Transfer Application and Proposed Transaction is hereby DENIED and void as of the date hereof. Section 3. If any of the written representations made to the Commission or City in the Transfer Application proceeding by (i) Comcast of Minnesota, Inc., (ii) Comcast or (iii) GreatLand, (iv) any subsidiary or representative of the foregoing prove to be materially incomplete, untrue or inaccurate in any material respect, it shall be deemed a material breach of the Franchise Documents and applicable law, and subject to the remedies contained in the Franchise Documents and applicable law. Section 4. This Resolution shall not be construed to grant or imply the City's consent to any other transfer or assignment of the Franchises or any other transaction that may require the City's consent under the Franchise or applicable law. The City reserves all its rights with regard to any such transactions. Section 5. This Resolution is a final decision on the Transfer Application within the meaning of 47 U.S.C. § 537. Section 6. The transfer of control of the Grantee from Comcast to GreatLand shall not take effect until the consummation of the Proposed Transaction. Section 7. Since the easement was dedicated in 2003, additional review of the depth of the sanitary sewer pipe has occurred by the City's Engineering Department. The depth of the sewer line is much shallower than originally expected, therefore, the easement is excessive and a portion of the easement should be vacated. Berkowitz, Director of Pub is Works /City Engineer SUBJECT: Discuss /Approve Conservation Easement/12- 23/Woodland Creek Wetland Bank - Engineering DATE: March 3, 2015 INTRODUCTION The City Council is requested to discuss /approve the Conservation Easement /12- 23/Woodland Creek Wetland Bank. DISCUSSION As the wetland road bank project moves forward the next step is to approve and record the attached conservation easement on the City's property (Old Woodland Creek Golf Course) so that the City can request the easement reimbursement or payment from the Board of Water and Soil Resources (BWSR) for use of the easement for wetland restoration purposes. The easement encompasses 64.346 Acres of the property. BWSR will pay the City $5,582.50 per acre. BUDGETIMPACT The payment for the right to use the easement will reimburse the City Capital Project Fund that was used to purchase the property. ACTION REQUIRED The City Council is requested to approve the attached Conservation Easement for the Woodland Creek Wetland Bank project. Respectfully submitted, David D. BACKGROUND On February 17, 2015, City Council tabled the request so the developer could submit housing styles /model plan options that meet city code size requirements. ACTION REQUESTED The City Council is asked to approve or deny the requested PUD Amendment which includes Exhibit B depicting housing styles /model plans that meet city code size requirements. Hanson Cc: Bill Boyum, Lamb Properties LLC, 425 Carissa Ln SW, St. Michael, MN 55376 CITY OF ANDOVER COUNTY OF ANOKA STATE OF MINNESOTA A RESOLUTION AMENDING RESOLUTION R192 -04 TO MODIFY THE PLANNED UNIT DEVELOPMENT STANDARDS OF "COUNTRY OAKS WEST" FOR LAMB PROPERTIES, LLC LOCATED IN THE NORTH 'h, SECTION 14, TOWNSHIP 32, RANGE 24, ANOKA COUNTY, MINNESOTA, LEGALLY DESCRIBED AS: Lots 12 -23, Block 1, Country Oaks West according to the recorded plat thereof, Anoka County, Minnesota and; WHEREAS, Lamb Properties, LLC has requested approval to the revised planned unit development standards; and WHEREAS, pursuant to published and mailed notice thereof, the Planning and Zoning Commission has conducted a public hearing on the revised planned unit development standards; and WHEREAS, as a result of such public hearing, the Planning and Zoning Commission has reviewed the request and determined that said request meets the criteria of City Code 13 Planned Unit Development and the intent of the previously approved preliminary plat and Planned Unit Development standards; and WHEREAS, the Planning and Zoning Commission recommends to the City Council the approval of the revised Planned Unit Development standards, and; NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Andover hereby agrees with the recommendation of the Planning and Zoning Commission and approves the revised planned unit development standards of Country Oaks West, with the following conditions: 1. The development shall conform to City Code Titles 11, 12, and 13, as well as Exhibit A "Country Oaks West Amended PUD Design Standards ". Exhibit A shall regulate when in conflict with the City Code. 2. Architectural standards shall generally conform to the photos stamped received January 29, 2015 and are shown in Exhibit B. 3. All previous conditions of Resolution R192 -04 not modified by this resolution shall remain in effect. 4. Contingent upon staff review and approval for compliance with City ordinances, policies and guidelines. 5. Additional drainage and utility easements shall be dedicated as shown on the revised plans. The developer shall submit documents to be recorded at Anoka County. 6. The developer shall satisfy City of Andover engineering comments dated January 21, 2015. 7. A financial guarantee may be required to assure grading improvements will be completed. This will be determined by the Andover Engineering Department. 8. All conditions shall be met prior to the issuance of building permits. 9. The landscape plantings must be similar as the originally approved plan as shown in Exhibit C. The proposed detached single family homes within the development will demonstrate quality architectural design and the use of high quality building materials for unique design and detailing. According to the original Landscape Plan, a buffer of tree screening will be planted between the detached single family town homes and the railroad track. The screening will consist of a minimum of sixty -five (65) white pines with a minimum height at the time of planting of 8' —10' feet.
